(I) Disclosure of Interest
No disclosures of interest were noted.
(II) Matters for Consideration
a) Consent/Waiver to Veridian Shareholder Agreement
P. Bigioni, Director, Corporate Services & City Solicitor outlined the
Consent/Waiver agreement that was received by the City from Veridian. He noted
that Veridian had requested Council approval of the Consent and Waiver
Agreement in order to supplement a section of the Veridian Shareholder's
Agreement. He explained that the Consent and Waiver Agreement would allow for
an additional appointment of a resident to the board of Veridian Connections if at
any time a resident member of Veridian board is appointed as Chair or Vice Chair.
Mr. Bigioni noted that the Consent and Waiver Agreement was legally in order.

Seconded by Councillor Johnson
That the City of Pickering sign the Consent and Waiver Agreement.
Carried Unanimously
(III) Confirmatory By-law
By-law Number 7386/14
Councillor O'Connell seconded by Councillor Johnson moved for leave to
introduce a By-law of the City of Pickering to confirm those proceedings of the
Council of The Corporation of the City of Pickering at its Special Meeting of
Council of December 8, 2014.
