The Corporation of the Township of Pickering enacts as follows: 1. That the Reeve and Clerk be authorized to sign an agreement permitting Metropolitan Toronto to use a portion of the closed road allowance between Lots 20 and 21 in Concession 3 for the purpose of gaining access to a Sanitary Landfill Site to be established by Metro. a First, Second and Third Time and PASSED this day of November, 1973 k ?J- Qd?E so?I An J 1 R eve Q R 0 v P 40 AS TO FORM Clerk THIS AGREEMENT dated the Nineteen Hundred and Seventy-three. B E T W E E N: 12th day of 4t4WXeAX7X JixnP, THE MUNICIPALITY OF METROPOLITAN TORONTO, hereinafter called "Metro", of the FIRST PART, - and - THE CORPORATION OF THE TOWNSHIP OF PICKERING, G W 0 R. a. Q M In hereinafter called "Township", of the SECOND PART. WHEREAS the Township is the owner of a closed road allowance being the road allowance between Lots 20 and 21, Concession 3, in the said Township. AND WHEREAS Metro wishes to use such closed road allowance as an access roadway to the Easterly portion of the Sanitary Landfill Site to be established by Metro. AND WHEREAS the Township has agreed that such closed road allowance may be so used provided that Metro enters into these presents. AND WHEREAS Metro has agreed to do so. NOW THEREFORE in consideration of the premises, Metro hereby agrees with the Township as follows:- 1. Metro shall/construct and at all times maintain to the satisfaction of the Township Engineer, the said access road over the closed road allowance as indicated on the sketch attached hereto as Schedule "A". 2. Should it become necessary or expedient for the purposes of the Township that the said access road be closed or - 2 - relocated, Metro shall, upon the request of the Township and at the sole cost and expense of Metro, forthwith close or relocate said access road. 3. Metro shall pay to the ^-wnship, for the privilege hereby granted, the sum of one Dollar ($1.00) receipt whereof is hereby acknowledged. 4. Metro will indemnify and save harmless the Township from all loss, expense and/or liability howsoever incurred by Metro and arising directly or indirectly from Metro's entry and use of the said lands and Metro hereby waives as against the Township all claims of whatsoever nature or kind in any manner directly or indirectly arising out of or attributable to the exercise by Metro or others of the privileges granted herein, without limiting the generality of the foregoing, Metro assumes all costs and expense not previously existing directly resulting from any construction repair and maintenance occasioned by the use of said lands. 5. The said access road and all appurtenances in connection therewith while on the Township's premises shall at all times be entirely at the risk of Metro in respect of loss, damage or injury from whatever cause arising whether due to the negligence of the Township, its agents or employees or otherwise. 6. Neither this license nor any right, interest or privilege hereunder is subject to any assignment of sub- lease without having first obtained the consent in writing of the Township. 7. This license may be terminated at any time after the date hereof by either party giving to the other party not less than thirty (30) days notice in writing of - 3 - intention to terminate.
