HomeMy WebLinkAboutBy-law 388/76THE CORPORATION OF THE TOWN OF PICKERING BY-LAW NUMBER 'o b Being a by-law to authorize the execution of an agreement between the Corporation of the Town of Pickering and Pitney Bowes of Canada Ltd./Pitney Bowes du Canada Ltee. with respect to Parts 6, 71 8, 9 and 10, Plan 40R-2638, Town of Pickering WHEREAS, pursuant to the provisions of subsection 1 of section 336 of The Municipal Act, R.S.O. 1970, chapter 284, the Council of the Corporation of the Town of Pickering may pass by-laws for acquiring land required for the purposes of the Corporation; AND WHEREAS, pursuant to the provisions of subsection 3 of section 336 of that Act, if it appears that a larger quantity of land than is required can be more reasonably and more advantageously acquired, the Council may acquire such larger quantity; AND WHEREAS the Corporation of the Town of Pickering may therefore acquire for road purposes Parts 4, 5, 6, 7, 8 and 9 on Plan 40R-2638, Town of Pickering, Parts 4, 7, 8 and 9 not being required; AND WHEREAS the Corporation of the Town of Pickering is the registered owner of and acquired or held on or before December 31, 1973 Part 10, Plan 40R-2638, Town of Pickering; AND WHEREAS Pitney Bowes of Canada Ltd./Pitney Bowes du Canada Ltee, wishes to purchase said Part 10; NOW THEREFORE the Council of the Corporation of the Town of Pickering hereby enacts as follows: 1. The Mayor and Clerk are hereby authorized to execute an agreement between the Corporation of the Town of Pickering and Pitney Bowes of Canada Ltd./Pitney Bowes du Canada Ltee. with respect to the sale and purchase of Parts 6, 7, 8 and 9, Town of Pickering, and the sale by the Town of Part 10 on Plan 40R-2638, Town of Pickering. Mayor ? f Administrator-glerk L, { THIS INDENTURE OF AGREEMENT made as of the 10th day of March, 1976. B E T W E E N: PITNEY BOWES OF CANADA LTD. PITNEY BOWES DU CANADA LTEE. Hereinafter called "Pitney Bowes" OF THE FIRST PART - and - THE CORPORATION OF THE TOWN OF PICKERING, hereinafter called "Pickering" OF THE SECOND PART WHEREAS Pickering has agreed to sell and Pitney Bowes has agreed to buy Part 10, Plan 40R-2638, Town of Pickering; and WHEREAS Pickering has agreed to give to Pitney Bowes the irrevocable right of first refusal to the sale of Parts 6, 7, 8 and 9 according to said Plan 40R-2638 at whatever price will be agreed upon if such sale is accepted and completed; and If and when Pitney Bowes purchases from Pickering said Parts 6, 7, 8 and 9, Plan 40R-2638, then Pitney Bowes has agreed to re-convey to Pickering free of charge, said Part 6 and Pickering agrees that it will immediately dedicate said Part 6 for highway purposes; and WHEREAS it is considered desirable that these agreements be reduced to writing; NOW THEREFORE THIS INDENTURE WITNESSETH that in con- sideration of the mutual covenants and agreements herein con- tained the parties hereto mutually agree as follows: 1. Pitney Bowes will buy from Pickering and Pickering will sell to Pitney Bowes, Part 10, Plan 40R-2638 Pickering, consist- ing of 6.00 acres at and for a price of $210,000.00. 2. Pickering will grant to Pitney Bowes the irrevocable right of first refusal to purchase from Pickering, Parts 6, 7, 8 and 9, Plan 40R-2638 Pickering, and in the event of such right being exercised by Pitney Bowes, Pitney Bowes will forthwith re- convey to Pickering, Part 6 according to said plan, free of charge, and Pickering will forthwith dedicate said Part 6 for highway purposes.
