HomeMy WebLinkAboutBy-law 1456/82THE CORPORATION OF THE TOWN OF PICKERING BY-LAW NO. 1456/82 Being a By-Law to authorize the execution of an Agreement between the Corporations of the Towns of Ajax, Pickering and Whitby to provide for the establishment of the Pickering/Ajax/Whitby Animal Control Service and the Joint Animal Control Committee, and to repeal By-Law 1434/82 WHEREAS, pursuant to the provisions of paragraph 208.5 of the Munici- pal Act, R.S.O. 1980, chapter 302, by-laws may be passed by the councils of all municipalities for entering into agreement with one or more municipalities to provide for the joint management and opera- tion of, inter alia, municipal services, and for the establishment of joint boards of management thereof; and WHEREAS, pursuant to the provisions of section 193 of the said Act, the council of a municipal corporation may pass by-laws for acquiring any land required for the purposes of the corporation; and WHEREAS, the Councils of The Corporations of the Towns of Ajax, Pick- ering and Whitby wish to provide for the establishment, management and operation, under a joint board of management, of a joint animal control service to be based at premises to be acquired by the Corporation of the Town of Whitby in the Town of Whitby; NOW THEREFORE, the Council of the Corporation of the Town of Pickering HEREBY ENACTS AS FOLLOWS: The Mayor and Clerk are hereby authorized to execute an Agreement, in the form attached hereto as Schedule "A", between The Corpor- ations of the Towns of Ajax, Pickering and whitby, to provide for the establishment of the Pickering/Ajax/Whitby Animal Control Service and the establishment of the Joint Animal Control Com- mittee. 2. By-Law 1434/82 is hereby repealed. BY-LAW read a first, second and third time and finally passed this 8th day of March, 1982. SCHEDULE "A" TO BY-LAW 1456/82 THIS AGREEMENT made in triplicate this 8th day of March, 1982. BETWEEN: THE CORPORATION OF THE TOWN OF AJAX hereinafter referred to as "Ajax" OF THE FIRST PART, THE CORPORATION OF THE TOWN OF PICKERING hereinafter referred to as "Pickering" OF THE ~SECOND PART, THE CORPORATION OF THE TOWN OF WHITBY hereinafter referred to as "Whitby" OF THE THIRD PART. WHEREAS Ajax, Pickering and Whitby each have certain responsibilities relating to the enforcement of their respective animal control by-laws, enacted pursuant to the Dog Licensing and Live Stock and Poultry Pro- tection Act, R.S.O. 1980, c. 123, and the Municipal Act, R. SoO. 1980, c. 302, or their predecessors; and WHEREAS it is deemed desirable that such responsibilities be carried out jointly by the establishment of a joint animal control service to be operated by an outside contractor on behalf of Ajax, Pickering and Whitby from a facility owned by Whitby and located within the bound- aries of the Town of Whitby; and WHEREAS pursuant to the provisions of paragraph 208.5 of the Municipal Act, the council of a municipality may enter into an agreement with one or more municipalities to provide for the joint management and opera- tion of municipal services, and for the establishment of joint boards of management thereof; and WHEREAS pursuant to the provisions of section 193 of the Municipal Act, the council of a municipal corporation may acquire any land required for the purposes of the corporation; NOW THEREFORE THIS AGREEMENT WITNESSETH THAT, in consideration of the premises and the mutual and other covenants hereinafter set forth, the Parties hereby covenant and agree as follows: - 2 JOINT ANIMAL CONTROL SERVICE Ajax, Pickering and Whitby hereby agree to the establishment of a joint animal control service operation, to be known as the "Pick- ering/Ajax/Whitby Animal Control Service" (hereinafter referred to as the "Service"), for the purpose of the carrying out of their respective responsibilities relating to the enforcement of their respective animal control bylaws. The operation of the Service shall be based at the premises now known as the "Ontario Humane Society Animal Shelter" in the Town of Whitby, which premises are more particularly described in Schedule "A" hereto, and hereinafter referred to as the "Premises". PREMISES In order to facilitate the operation of the service, Whitby shall forthwith acquire the Premises, including all buildings, struc- tures, equipment and related appurtenances, from the present owner thereof, the Ontario Society for the Prevention of Cruelty to Animals, for a sum not to exceed $135,000, exclusive of land transfer taxes, retail sales taxes, legal and surveying fees, registration fees and other sums related to the actual closing of the transaction. (1) For the further consideration of the sum of $90,000.00, $45,000.00 of which is now paid by each of Ajax and Pickering to Whitby, Whitby agrees that it shall keep the premises, including all buildings, structures, equipment and related appurtenances available to Ajax, Pickering and Whitby for the purposes of the operation of the service so long as such service continues. (2) So long as Whitby is in compliance with subsection (1), above, Ajax, Pickering and Whitby agree that all capital, rfiaintenance and operating costs relating to the premises, including all buildings, structures, equipment and related appurtenances shall be borne by them in equal shares. (3) If Whitby ceases to keep the premises, including all build- ings, structures, equipment and related appurtenances, avail- able to Ajax, Pickering and Whitby for the operation of the service, Whitby shall forthwith dispose of such premises and, in consideration of being released by Ajax and Pickering from its obligation to keep the premises available as set out above, Whitby shall pay to each of Ajax and Pickering, one- third (1/3) of the net proceeds, including any insurance proceeds, of such disposition. CONTRACTOR In order to carry out the operation of the Service, Ajax, Pick- ering and Whitby hereby agree to engage by contract the services of an outside contractor in accordance with the terms of the service contract attached hereto as Schedule "B", as amended from time to time upon the agreement of the Parties hereto, the annual cost of which shall be shared by Ajax, Pickering and Whitby in the same proportion that the population of each bears to the total population of all three, according to the population figures for the year in question published by the Ministry of Municipal Affairs and Housing in the Municipal Directory. - 3 - JOINT BOARD OF MANAGEMENT The operation of the Service, including the maintenance and oper- ation of the Premises and the administration of the service con- tract referred to in section 5, above, shall be under the manage- ment, regulation and control of a joint board of management to be known as the "Joint Animal Control Committee" (hereinafter referred to as the "Committee"). 7. (1) The Committee shall be composed of three members. (2) The persons qualified to be appointed as members of the Committee are those persons who are members of the councils of Ajax, Pickering or Whitby. (3) Each council shall annually appoint, (a) one member of the Committee, and (b) one alternate member of the Committee to sit on the Committee when the first appointee is unable to do so, from amongst its members. (4) Each member and.alternate member shall continue to hold office until the 30th day of November next following his or her appointment or until a successor is appointed. {5) The first appointments of members and alternate members of the Committee shall be made at the first regular meeting of the appointing bodies in March, 1982, and the members and alternate members shall take office on March 15th, 1982; thereafter appointments shall be made at the first meeting of the appointing bodies in December of each year, and the members and alternate members shall take office immediately, but if an appointing body fails to appoint at its first meeting, it shall do so at its next regular meeting. (6) Vacancies in the Corm~ittee arising from death, resignation or otherwise shall be filled forthwith by the appointed alter- nate member and the appointing body shall forthwith appoint a new alternate member; persons appointed to fill vacancies shall hold office for the unexpired term of the persons whose places have become vacant. (7) Each council shall appoint one member of the staff of its municipality to be an advisor to the Committee and to act as liaison between the council and the Committee. (8) The Committee may appoint professional persons to be advisors to the Committee with the concurrence of Ajax, Pickering and Whitby. (1) The Committee at its first meeting in each year shall elect one of its members as chairman. (2) In the absence of the chairman from any meeting, the Com- mittee shall appoint another of its members as acting chair- man for that meeting. (1) The Committee shall appoint one of the staff advisors to be the secretary of the Committee and who shall, (a) conduct the official correspondence of the Committee; and (b) keep a full and correct record of the proceedings of every meeting of the Committee and ensure that the minutes when confirmed are signed by the presiding officer. 10. 11. (2) JOINT BOARD OF MANAGEMENT (Cont'd) The Committee shall appoint one of the staff advisors to be the Treasurer of the Committee and who shall, (a) receive and account for all moneys of the Committee; (b) deposit all moneys received by him on account of the Committee, and no other moneys, in a chartered bank approved by the Committee, to the credit of the Com- mittee; (c) disburse all moneys as directed by the Committee; and (d) (1) report monthly to the members of the Committee, and, through the Secretary, to the councils of each of Ajax, Pickering and Whitbyo (2) The Committee shall hold regular meetings at least once every calendar quarter and at such other times as it considers necessary. The Chairman or any two members of the Committee may call a special meeting of the Committee by giving at least two clear days written notice to each member specifying the time, date and place of the meeting and the purpose for which it is called. (3) The presence of two of the members of the Committee shall constitute a quorum and shall be necessary for the trans- action of business at any regular or special meeting. (4) The Chairman or acting chairman may vote with the other members of the Con~nittee upon all questions, and should there be a tie vote thereafter, the Chairman shall cast an addi- tional vote as he sees fit. The members of the Committee shall serve without remuneration, but they may be reimbursed by their respective appointing bodies for proper travelling expenses incurred in carrying out their duties as members 'of the Committee. 12. The Committee shall, 13. (a) endeavour to ensure the provision of a comprehensive and efficient Service for each of Ajax, Pickering and Whitby; (b) endeavour to ensure that the Service is conducted in accord- ance with the service contract in effect from time to time and with all statutes, regulations and by-laws relating thereto; (c) transmit to each of Ajax, Pickering and Whitby all reports required by them, or any of them; (d) make provision for insuring the Premises, including all buildings, structures, equipment and related appurtenances owned by Ajax, Pickering and Whitby; and (e) manage, regulate and control, in accordance with the various agreements or contracts in effect from time to time, the operation of the Service, including the maintenance and operation of the Premises and the administration of the service contract referred to in section 5, above. (1) On or before the 15th day of November in each year, the Committee shall prepare, adopt and submit to the councils of Ajax, Pickering and Whitby, estimates of all sums required during the next following calendar year for the purposes of the Committee, and such estimates shall, - 5 - (2) (3) (4) JOINT BOARD OF MANAGEMENT (Cont'd) (a) set forth the estimated revenues and expenditures of the Committee; and (b) make due allowance for any surplus from a previous year or the current year. The Committee shall submit with its estimates a statement as to the proportion thereof to be chargeable to each of Ajax, Pickering and Whitby, and, if the estimates of the Committee are approved, or are amended and approved, by the councils of two of Ajax, Pickering and Whitby, the estimates so approved shall be binding upon all of Ajax, Pickering and Whitby. The amount of the approved estimates of the Committee shall be paid to the Committee, in the approved proportions, by each of Ajax, Pickering and Whitby, in such amounts as may be requisitioned from time to time. For the 1982 calendar year, the approved estimates of the Committee shall be deemed to total $6,000, payable one third each by Ajax, Pickering and Whitby in such amounts as may be requisitioned from time to time, but all requisitions shall be subject to the approval of each of Ajax, Pickering and Whitby, and the provisions of subsection (2), above, shall apply, mutatis mutandis. 14. INDEMNIFICATION In consideration of Ajax, Pickering and Whitby entering into this Agreement with this section included, each of them hereby agrees to share equally any liability which may result from all actions, causes of action, accounts, claims, debts, damages, demands and costs associated therewith, arising, to arise, or which may here- after be brought against them, or any of them, by or on behalf of any other person, because of any error, omission, failure or negligence in operation of the service or the maintenance and use of the premises. 15. 16. 17. TERM, EXPIRY & TERMINATION The ter~ of this Agreement shall commence on February 8th, 1982 and shall expire at midnight on December 31st, 1984, unless earlier terminated. This Agreement may be terminated on December 31st in any year during its term by any Party hereto upon six months prior written notice given by delivery to the Town Clerk of each of the other Parties on or before midnight on June 30th in the year. Unless this Agreement is renewed or replaced, and then subject to the terms of such renewal or replacement, upon the expiry or earlier termination of the term of this Agreement, (a) all outstanding liabilities incurred by the Parties through the properly conducted actions of the Committee shall be settled and paid, in the last approved proportions, by the Parties; (b) all moneys under the control of the Committee shall be returned to the Parties, in the last approved proportions; and (c) Whitby shall forthwith dispose of the premises, including all buildings, structures, equipment and related appurtenances, and the net proceeds of such disposition, including any - 6 - TERM, EXPIRY & TERMINATION (Cont'd) insurance proceeds, shall be distributed in accordance with the provisions of subsection (3) of section 4 of this Agree- ment. 18. 19. 20. INTERPRETATION Schedules "A" and "B" attached hereto shall form part of this Agreement. This Agreement and everything herein contained, shall enure to the benefit of, and be binding upon, the Parties hereto, and their respective successors, if any. This Agreement, and any of the rights, privileges and obligations herein contained, is not assignable by any Party hereto to any other Party or person. BETWEEN: THE ONTARIO SOCIETY FOR THE PREVENT/ON OF CRUELTY TO ANIMALS, a corporation in accordance with the provisions of the Ontario Society for the Prevention of Cruelty to Animals Act, 1980, R.S.O., Chapter 356, (Hereinafter called "the Society") - and- OF THE FIRST PART; THE CORPORATION OF THE TOWN OF AJAX, THE CORPORATION OF THE TO%~N OF PICKERING, and THE CORPORATION OF THE TOWN OF WHITBY, (Hereinafter called "the Municipali~ies") OF THE SECOND PART: WHEREAS the Society has for some time provided the services of pound keeper and animal conkroi officer for the Municipalities; AND WHEREAS the parties hereto have agreed that the Society should continue to provide such services subject to the terms and conditions hereinafter set forth; NOW THEREFORE THIS AGREEMENT WITNESSETH THAT in consideration of the premises and the mutual and other covenants }~ere~nafter set forth, the parties hereto covenant and agree each with the otl]cr as folio%es:- 1. The ~unicipalities shall pay to the Society a total of $128,595.00 for 1982. Estimated monthly amounts are to be paid by each Municipality to the Society on the 15th of each month during the term hereof and any adjustment due to any party hereto once the actual remuneration due to the Society for the term hereof has been established shall be made forth- with between the Society and each Municipality. 4. The Society shall dispose of all animals impounded and which become the property of the Municipality in accordance with the applicable By-laws of the respective Municipality. 5. The Society shall dispose of all carcasses of animals lawfully impounded and destroyed in accordance with the applicable By-laws of the respective Municipality. 6. The Society shall have the right to collect and retain all pound fees and destruction fees in accordance with the applicable By-laws of the respective Municipality. 7. Ail licence fees collected by the Society in accordance with this Agreement shall be remitted to the respective Municipalities at the same time as the monthly report required in accordance with Schedule "D" hereof. o The Society agrees: (a) to employ and supervise such animal control officers and other staff necessary to {~:p~ement the provisions of this agreement. 'fhe staffing and hours of operation set forth in Schedule "C" hereto shall be main- tained by the Society~ (b) to maintain at all t~mes three suitable \'~,h~c]es in proper working order for the use of operating and such vehicles the aforesaid staff, to pay all other costs associated with and to maintain personal injury and property damage insurance on each vehicle operated by it in connection with the operation of the animal control unit and the provision of services required by this Agreement in amounts that are satis- factory to the Municipalities; to keep the Society, and each Municipality as a named insured, property insured not only with respect to the aforesaid vehicles, but also with respect to public liability and property damage including claims with respect to injury to and loss or death of any animal in the following to each occurrence:- Public Liability Property Damage - amounts with respect $1,000,000.00 $ 50,000.00 It is further understood and agreed that there shall be no deductible payable by any Munic.ipality with respect to the aforesaid insurance; (d) to receive, impound and hold for claiming by the owners, any animal delivered to the Society's animal sNelter by any amir, al con- trol officer or other person and to dispose of same by sale or destruction; (e) to charge such poi:nd and other fees as may be approved from time to ti:ne by the respec- tive Municipalities; (f) to de]iv~:r to each Municipality a monthly report in accordance %'ith the provisions of Schedule "D" hereto; [g) to provide a hur,ane method for the of animals; (h) to dispose of the bodies of all animals so killed in accordance with applicable legal requirements; (i) upon reasonable notice, to allow when requested by school authorities "open house" days and school "guided tours" in an effort to promote better understanding of animal Control problems with citizens at large; (j) to maintain adequate telephone lines so that residents of each Municipality may mare tele- phone contact with the Society without incurring a long distance charge; {k) to investigate all complains from residents of each Municipality regarding stray animals runnin9 at large in such Municipality and if the complaints are justified in accordance with the By-laws relating thereto, the Society will utilize its best efforts to remove the animals to the animal shelter; (1) to make available any of its employees having any relevant knowledge relating to giving evi- dende or otherwise assisting with respect to ~nN prosecution ~?]cmented under (n) s~d By-laws by any to require an}, o-,,.~er dog, when a licence of the ~'.:unicipa!ities; claiming an unlicensed is required 13,5, the respective >h]nicipal By-law, to purchase a licence through the Society prior to returning said dog to the owner. to render cour{eous and prompt service to all citizens' enquiries; (o) to ind~mify the I.~unicJpal~tJes ~nd each one thereof against all manner of claims, damages, loss, costs and charges whatsoever, whether for injuries to persons or animals or loss of life or damage to property or otherwise, suffered by such Municipality or Municipalities or its or their property either directly or indirectly in respect of any matter or thing arising from the Society's occupancy or use of the aforesaid premises or out of the implementation of this Agree- ment by the Society or any operation in connection therewith. 9. Within two 2) months of the completion of the acquisition of the said lands in accordance with Section 1. hereof, outside lands. the Society shall remove at its sole expense, the cat accommodation presently situate on the subject 10. Should the ~-:unic~pa]jtjes, at any time during the term hereof feel that the Soc~ety is neglecting ~ts obligations to them hereunder in favour of its other obligations, the Municipalities may terminate this Agree- ment (as hereinafter provided) and the Town of Whitby may terminate the aforesaid licence in a like manner. (d) The Society shall be responsible for the normal caretaking requirements, including the removal of snow and the cutting of grass, with respect to the aforesaid lands and premises, including any buildings thereon and equipment associated therewith. The Town of Wh~tby shall be respon- sible for the maintenance and general repair of the said buildings. 11. Such notice shall be deemea to be served to the respective parties on the day of its personal delivery to such parties or five days after the mailing thereof by pre-paid registered mail to such parties and the date of termination shall be the 90th day after aforesaid date of service. 14. It is further understood and agreed that the implementation of this Agreement is conditional upon the com- pletion of the acquisition of the said lands and premises in accordance with Section 1. hereof. 15. This Agreement is binding upon and shall enure to the benefit of the parties hereto and their respective successors and assigns provided that no assignment shall be valid without the Written consent of all of the parties hereto.
