PE IAL COUNCIL S C L MEETING
A Special Meeting of the Pickering City Council was held on Tuesday, October 24th,
2000 at 5:04 p.m.
PRESENT:
Mayor Wayne Arthurs
COUNCILLORS:
R. Johnson
D. Pickles
D. Ryan
ALSO PRESENT:
G. Paterson - Director, Corporate Services and Treasurer
B. Taylor - City Clerk
ABSENT:
Councillor Brenner (municipal business)
Councillor Dickerson (vacation).

(I) AUTHORITY TO MEET IN CAMERA
Resolution #148/00
Moved by Councillor Ryan
Seconded by Councillor Pickles
That pursuant to Section 55(7) of the Municipal Act, R.S.O. 1990, c M.45, as amended,
the Council of the Corporation of the City of Pickering hereby resolves to conduct a
meeting to consider a matter in respect of which the Council has authorized a meeting to
be closed under another Act matter.

That Report No. CS 24-00 of the Chief Administrative Officer and the Director',
Corporate Services & Treasurer regarding Veridiab corporation be received by Council
and:

1. that the merger of the Belleville Utilities Commission with Veridian Corporation
et al be approved;
2. the attached by-law to authorize the execution of a Merger Agreement among the
Corporation of the City of Belleville, the Corporation of the Town of Ajax, the
Corporation of the Municipality of Clarington, the Corporation of the City of
Pickering, Veridian Connections Inc., Veridian Corporation, Veridian Energy Inc.
and three successor corporations to the electricity retailing and distribution
business of Belleville be read three times and passed;
3. the Chief Administrative Officer and the Director, Corporate Services &
Treasurer be authorized to undertake any discussions, negotiations or amendments
to agreements necessary in order to put into effect the wishes of Council as
expressed under these and previous resolutions regarding this matter;
4. the Mayor and Clerk be authorized to execute any agreements or amendments to
agreements resulting from the approval granted under the recommendations
above; and,
5. the appropriate authorities of the City of Pickering be given authority to give
effect thereto.

(II) BY-LAWS
That Councillor Johnson, seconded by Councillor Ryan, took leave to introduce by-laws
of the City of Pickering:
By-law Number 5769/00
Being a by-law to authorize the execution of a Merger Agreement among the
Corporation of the City of Belleville, the Corporation of the Town of Ajax, the
Corporation of the Municipality of Clarington, the Corporation of the City of
Pickering, Veridian Connections Inc., Veridian Corporation, Veridian Energy Inc.
and three Successor Corporations to the Electricity Retailing and Distribution
Business of Belleville.
THIRD READING:
Councillor Johnson, seconded by Councillor Ryan moved that the report of the
Committee of the Whole on By-law Number 5769/00 be adopted and the said by-law be
now read a third time and PASSED and that the Mayor and Clerk sign the same and the
seal of the Corporation be affixed thereto.
