BY-LAW NO.2609/87
Being a By-law to accept the offer dated October
22, 1987, of Invar Leasing Limited to purchase
that part of Lot 18, Range 3, B.F.C., Pickering,
designated as Parts 7, 8 and 9, Plan 40R-2638
(except Part 2, Plan 40R-7115), and to authorize
the Mayor and Clerk to execute same on behalf of
the Town.
WHEREAS, pursuant to the provisions of section 210.50 of the Municipal Act, R.S.O.
1980, c.302, and section 131(2) of the Regional Municipality of Durham Act, R.S.O.
1980, chapter 434, as amended, the Council of The Corporation of the Town of
Pickering may pass a by-law to sell that part of Lot 18, Range 3, B.F.C., Pickering
designated as Parts 7, 8 and 9, Plan 40R-2638 (except Part 2, Plan 40R-7115), for
the establishment and carrying on of industries and of industrial operations and uses
incidental thereto;
NOW THEREFORE, the Council of the Corporation of the Town of Pickering HEREBY
ENACTS AS FOLLOWS:
The Corporation of the Town of Picketing hereby accepts the offer dated
October 22, 1987, of Invar Leasing Limited to purchase that part of Lot 18,
Range 3, B.F.C., Pickering, designated as Parts 7, 8 and 9, Plan 40R-2638
(except Part 2, Plan 40R-7115), a copy of which offer is attached hereto as
Schedule A.
The Mayor and Clerk are hereby authorized to execute that offer on behalf of
The Corporation of the Town of Pickering.
Schedule A hereto shall form part of this by-law.
BY-LAW read a first, second and third time and finally passed this 2nd day of
November, 1987.

SCHEDULE "C"
1. The Vendor shall prepare an up to date survey and legal description
of the ]ands, prepared by an Ontario Land Surveyor, together with a Certificate
of the Surveyor as to tile precise area of time lands to three (3) decimal points.
Such survey shall show time location and area of any rights of way and/or ease-
ments. TI~ Purchase Price for the lands is based upon and calculated at the
rate of ~ per acre and the Purchaser Price shall be increased or de-
creased as the case may be, based upon the foregoing price per acre for the
area of the land actually o~ed and to be conveyed by the Vendor to the Purchaser
hereunder and such increase or decrease shall be reflected pro rata between the
balance due on closing and the mortgage being taken back by the Vendor.
2. The Vendor covenants, represents and warrants that there are no
local improvements affecting the property.
3. On time acceptance of this Offer by the Vendor, time Purchaser shall
have the right to enter upon time Property for the purpose of conducting soil
tests, preparing surveys or making other similar tests of the Property in order
to establish that the Property is suitable for the normal construction of in-
dustrial buildings. For time purpose of this provision "normal construction"
shall mean the type of construction in general use witl~ respect to industrial
buildings and not requiring an expen~diture in excess of the usual cost for tile
construction of such buildings.
Provided that after any such surveys and tests have been made, the
Purchaser will, at its expense, return the Property to the state it was before
the co~nencement of ~uch ~urveys and tests.
This offer is conditional upon the Purchaser in its Sale discretion
being satisfied with the resul[s of such tests. Such test~ are to be completed ./

~ and in the event that the Purchaser is not satisfied with' the results/or ~
such tests and will not waive this condition, it must notify the Vendor or th~
Vendor's solicitors in writing, and should such notice by given, this offer and'
the Agreement of Purchase and Sale arising from the acceptance of this offer,
shall be null and void and the deposit monies shall be returned to the Purchaser.
If no such notice in writing is given, it shall be conclusively deemed
that such condition is satisfied and waived.
4. The Vendor and Purchaser acknowledge and agree that time Property is
subject to a first right of refusal fr~nPitneyBowesofCamadakimited. This offer is
conditional for a period of seventy-five (75) days from the date of acceptance
of this offer upon Pitney Bowes Limited waiving its first right of refusal.
5. The Vendor and Purchaser acknowledge that there is a right of way '."
affecting the property (described as Part 8 on Plan 40R-2638) which right of way
