BY-LAW NO. 1442/82
Being a By-Law to authorize the execution
of an Agreement between the Corporation of
the Town of Pickering and 502866 Ontario
Limited respecting the development of part
Block Y, Plan M-16, Pickering
WHEREAS the development of part Block Y, Plan M-16, Pickering, is
controlled by a Site Plan Agreement dated December 18th, 1978 between
the Town and Lionel Sharpe, In Trust, notice of which Agreement was
registered on May 1st, 1979 as Instrument No. LT89744, which Agreement
is binding upon the successors and assigns of each Party; and
WHEREAS 502866 Ontario Limited is a successor to Lionel Sharpe, In
Trust, in that Lionel Sharpe, In Trust executed the said Agreement
on behalf of Brockton Investments Co. Ltd.; and
WHEREAS it is deemed desirable to enter into a further Agreement to
acknowledge that the Town and 502866 Ontario Limited are each bound
by the provisions of the said Agreement;
NOW THEREFORE, the Council of the Corporation of the Town of Pickering
HEREBY ENACTS AS FOLLOWS:
The Mayor and Clerk are hereby authorized to execute an Agreement,
between the Corporation of the Town of Pickering and 502866
Ontario Limited, respecting the obligations of the Parties pur-
suant to an Agreement dated December 18th, 1978 between the Town
and Lionel Sharpe, In Trust, respecting the development of that
part of Block Y, Plan M-16, Pickering, designated as Parts 1, 2
and 3, Plan WR-414.
BY-LAW read a first, second and third time and finally passed this
15th day of February, 1982.

THIS AGREEMENT made in triplicate this day of

BETWEEN :
THE CORPORATION OF THE TOWN OF PICKERING
hereinafter called the "Town"
OF THE FIRST PART,
502866 ONTARIO LIMITED
hereinafter called the "Lessee"
OF THE SECOND PART.
WHEREAS Douglas Leaseholds Limited is the
simple of that part of Block Y, Plan M-16,
Parts 1, 2 and 3, Plan WR 414; and
registered owner in fee
Pickering, designated as
WHEREAS the Lessee is the Assignee of a 99-year leasehold interest in
the said lands, which leasehold interest originated in a lease dated
October 14th, 1970, notice of which was registered November 10th, 1970
as Instrument No. 27262, between Douglas Leaseholds Limited and Sun Oil
Company Limited, now Suncor Inc.; and
WHEREAS pursuant to the provisions of section 35a of The Planning Act,
R.S.O. 1970, c.349, the Town entered into a Site Plan Agreement dated
December 18th, 1978, notice of which was registered May 1st, 1979 as
Instrument No. LT89744, with Lionel Sharpe as trustee for a former
assignee of the said leasehold interest, namely Brockton Investments
Co. Ltd., which Agreement is binding upon all successors and assigns of
each Party thereto; and
WHEREAS it is deemed desirable, for greater particularity to confirm
that the Lessee herein is bound by the said Agreement;
NOW THEREFORE, THIS AGREEMENT WITNESSETH THAT, in consideration of the
sum of Two Dollars ($2.00) now paid by each Party to the other, receipt
of which by each is hereby acknowledged, and other valuable considera-
tion, the Parties hereto agree as follows:
The Town and the Lessee acknowledge and agree that the Agreement
dated December 18th, 1978 between the Town and Lionel Sharpe, In
Trust, notice of which Agreement was registered as Instrument No.
LT89744, respecting the lands more particularly described in
Schedule "A" hereto, and everything contained in that Agreement
shall enure to the benefit of and be binding upon the Town and the
Lessee herein, and their respective successors and assigns.

The lands affected by this Agreement are those lands and premises
more particularly described in Schedule "A" hereto.
3. Schedule "A" hereto is hereby made a part of this Agreement.
This Agreement and everything contained herein shall enure to the
benefit of and be binding upon the Parties hereto, and their
respective successors and assigns.
IN WITNESS WHEREOF, the Parties hereto have hereunto affixed their
respective corporate seals, duly attested by their proper authorized
officers.

ALL AND SINGULAR that certain parcel or tract of land and premises
situate, lying and being in the Town of Pickering, in the Regional
Municipality of Durham (formerly in the Township of Pickering, in the
County of Ontario) and being composed of that part of Block Y according
to a plan registered in the Land Titles Office for the Registry Divi-
sion of Durham as Plan M-16 designated as Parts 1, 2 and 3 on a plan of
survey of record filed in the said Office as Plan WR-414.
