HomeMy WebLinkAboutBy-law 1434/82THE CORPORATION OF THE TOWN OF PICKERING BY-LAW NO. 1434/82 Being a By-Law to authorize the execution of an Agreement between The Corporations of the Towns of Ajax, Pickering and Whitby to provide for the establishment of the Pickering/Ajax/Whitby Animal Control Service and the Joint Animal Control Committee WHEREAS, pursuant to the provisions of paragraph 208.5 of the Muni- cipal Act, R.S.O. 1980, chapter 302, by-laws may be passed by the councils of all municipalities for entering into agreement with one or more municipalities to provide for the joint management and oper- ation of, inter alia, municipal services, and for the establishment of joint boards of management thereof; and WHEREAS, pursuant to the provisions of section 193 of the said Act, the council of a municipal corporation may pass by-laws for acquir- ing any land required for the purposes of the corporation; and WHEREAS, the Councils of The Corporations of the Towns of Ajax, Pickering and Whitby wish to provide for the establishment, manage- ment and operation, under a joint board of management, of a joint animal control service to be based at premises to be acquired in the Town of Whitby; NOW THEREFORE, the Council of the Corporation of the Town of Pickering HEREBY ENACTS AS FOLLOWS: The Mayor and Clerk are hereby authorized to execute an Agree- ment, in the form attached hereto as Schedule "A", between The Corporations of the Towns of Ajax, Pickering and Whitby, to provide for the establishment of the Pickering/Ajax/Whitby Animal Control Service, the acquisition of certain premises located in the Town of Whitby, and the establishment of the Joint Animal Control Co~nittee. (Part Lot 21, Concession 4, whitby) BY-LAW read a first, second and third time and finally passed this 15thday of February, 1982. SCHEDULE "A" THIS AGREEMENT made in triplicate this day of , 1982. BETWEEN : THE CORPORATION OF THE TOWN OF AJAX hereinafter referred to as "Ajax" OF THE FIRST PART, - and - THE CORPORATION OF THE TOWN OF PICKERING hereinafter referred to as "Pickering" OF THE SECOND PART, - and- THE CORPORATION OF THE TOWN OF WHITBY hereinafter referred to as "Whitby" OF THE THIRD PART. WHEREAS Ajax, Pickering and Whitby each have certain responsibilities relating to the enforcement of their respective animal control by-laws, enacted pursuant to the Dog Licensing and Live Stock and Poultry Pro- tection Act, R.S.O. 1980, c. 123, and the Municipal Act, R.S.O. 1980, c. 302, or their predecessors; and WHEREAS it is deemed desirable that such responsibilities be carried out jointly by the establishment of a joint animal control service to be operated by an outside contractor on behalf of Ajax, Pickering and Whitby from a facility owned by Ajax, Pickering and Whitby and located within the boundaries of the 'Town of Whitby; and WHEREAS pursuant to the provisions of paragraph 208.5 of the Municipal Act, the council of a municipality may enter into an agreement with one or more municipalities to provide for the joint management and opera- tion of municipal services, and for the establishment of joint boards of management thereof; and WHEREAS pursuant to the provisions of section 193 of the Municipal Act, the council of a municipal corporation may acquire any land required for the purposes of the corporation; NOW THEREFORE THIS AGREEMENT WITNESSETH THAT, in consideration of the premises and the mutual and other covenants hereinafter set forth, the Parties hereby covenant and agree as follows: e JOINT ANIMAL CONTROL SERVICE Ajax, Pickering and Whi~by hereby agree to the establishment of a joint animal control service operation, to be known as the "Pick- ering/Ajax/Whitby Animal Control Service" (hereinafter referred to as the "Service"), for the purpose of the carrying out of their respective responsibilities relating to the enforcement of their respective animal control bylaws. The operation of %he Service shall be based at the premises now known as the "Ontario Humane Society Animal Shelter" in the Town of Whitby, which premises are more particularly described in Schedule "A" hereto, and hereinafter referred to as the "Premises". e PREMISES In order to facilitate the operation of the service, Ajax, Pick- ering and Whitby shall forthwith acquire the Premises, including all buildings, structures, equipment and related appurtenances, from the present owner thereof, the Ontario Society for the Pre- vention of Cruelty to Animals, for a sum not to exceed $135,000, exclusive of land transfer taxes, retail sales taxes, legal and surveying fees, registration fees and other sums related to the actual closing of the transaction. Ajax, Pickering and Whitby agree that ownership of the Premises, including all buildings, structures, equipment and related appur- tenances, shall be in equal undivided shares, and all capital, maintenance and operating costs relating thereto shall be borne in the same ratio. CONTRACTOR In order to carry out the operation of the Service, Ajax, Pick- ering and Whitby hereby agree to engage by contract the services of an outside contractor in accordance with the terms of the service contract attached hereto as Schedule "B", as amended from time to time upon the agreement of the Parties hereto, the annual cost of which shall be shared by ~jax, Pickering and Whitby in the same proportion that the population of each bears to the total population of all three, according to the population figures for the year in question published by the Ministry of Municipal Affairs and Housing in the Municipal Directory. JOINT BOARD OF MANAGEMENT The operation of the Service, including the maintenance and oper- ation of the Premises and the administration of the service con- tract referred to in section 5, above, shall be under the manage- ment, regulation and control of a joint board of management to be known as the "Joint Animal Control Committee" (hereinafter referred to as the "Committee"). (1) The Committee shall be composed of three members. (2) The persons qualified to be appointed as members of the Conunittee are those persons who are members of the councils of Ajax, Pickering or Whitby. (3) Each council shall annually appoint, (a) one member of the Committee, and (b) one alternate member of the Committee to sit on the Committee when the first appointee is unable to do so, from amongst its members. - 3 - (4) (5) (6) (7) (8) (1) (2) (1) (2) JOINT BOARD OF MANAGEMENT (Cont'd) Each member and alternate member shall continue to hold office until the 30th day of November next following his or her appointment or until a successor is appointed. The first appointments of members and alternate members of the Committee shall be made at the first regular meeting of the appointing bodies in March, 1982, and the members and alternate members shall take office on March 15th, 1982; thereafter appointments shall be made at the first meeting of the appointing bodies in December of each year, and the members and alternate members shall take office immediately, but if an appointing body fails to appoint at its first meeting, it shall do so at its next regular meeting. Vacancies in the Committee arising from death, resignation or otherwise shall be filled forthwith by the appointed alter- nate member and the appointing body shall forthwith appoint a new alternate member; persons appointed to fill vacancies shall hold office for the unexpired term of the persons whose places have become vacant. Each council shall appoint one member of the staff of its municipality to be an advisor to the Contmittee and to act liaison between the council and the Committee. as The Committee may appoint professional persons to the Committee with the concurrence of Ajax, Whitby. to be advisors Pickering and The Committee at its first meeting in each year shall elect one of its members as chairman. In the absence of the chairman from any meeting, the Com- mittee shall appoint another of its members as acting chair- man for that meeting. The Committee shall appoint one of the staff advisors to be the secretary of the Committee and who shall, (a) conduct the official correspondence of the Committee; and (b) keep a full and correct record of the proceedings of every meeting of the Committee and ensure that the minutes when confirmed are signed by the presiding officer. The Committee shall appoint one of the staff advisors to be the Treasurer of the Committee and who shall, (a) receive and account for all moneys of the Committee; (b) deposit all moneys received by him on account of the Committee, and no other moneys, in a chartered bank approved by the Committee, to the credit of the Com- mittee; (c) disburse all moneys as directed by the Committee; and (d) report monthly to the members of the Committee, and, through the Secretary, to the councils of each of Ajax, Pickering and Whitby. 10. 11. JOINT BOARD OF MANAGEMENT (Cont'd) (2) The Committee shall hold regular meetings at least once every calendar quarter and at such other times as it considers necessary. The Chairman or any two members of the Committee may call a special meeting of the Committee by giving at least two clear days written notice to each member specifying the time, date and place of the meeting and the purpose for which it is called. (3) The presence of two of the members of the Committee shall constitute a quorum and shall be necessary for the trans- action of business at any regular or special meeting. (4) The Chairman or acting chairman may vote with the other members of the Committee upon all questions, and should there be a tie vote thereafter, the Chairman shall cast an additional vote as he sees fit. The members of the Committee shall serve without remuneration, but they may be reimbursed by their respective appointing bodies for proper travelling expenses incurred in carrying out their duties as members of the Committee. 12. The Committee shall, 13. (a) endeavour to ensure the provision of a comprehensive and efficient Service for each of Ajax, Pickering and Whitby; (b) endeavour to ensure that the Service is conducted in accord- ance with the service contract in effect from time to time and with all statutes, regulations and by-laws relating thereto; (c) transmit to each of Ajax, Pickering and Whitby all reports required by them, or any of them; make provision for insuring the Premises, including all buildings, structures, equipment and related appurtenances owned by Ajax, Pickering and Whitby; and (e) manage, regulate and control, in accordance with the various agreements or contracts in effect from time to time, the operation of the Service, including the maintenance and operation of the Premises and the administration of the service contract referred to in section 5, above. (1) On or before the 15th day of November in each year, the Committee shall prepare, adopt and submit to the councils of Ajax, Pickering and Whitby, estimates of all sums required during the next following calendar year for the purposes of the Committee, and such estimates shall, (a) set forth the estimated revenues and expenditures of the Committee; and (b) make due allowance for any surplus from a previous year or the current year. (2) The Committee shall submit with its estimates a statement as to the proportion thereof to be chargeable to eaQh of Ajax, Pickering and Whitby, and, if the estimates of the Committee are approved, or are amended and approved, by the councils of two of Ajax, Pickering and Whitby, the estimates so approved shall be binding upon all of Ajax, Pickering and Whitby. - 5 - (3) (4) JOINT BOARD OF MANAGEMENT (Cont'd) The amount of the approved estimates of the Committee shall be paid to the Coranittee, in the approved proportions, by each of Ajax, Pickering and Whitby, in such amounts as may be requisitioned from time to time. For the 1982 calendar year, the approved estimates of the Committee shall be deemed to total $6,000, payable one third each by Ajax, Picketing and Whitby in such amounts as may be requisitioned from time to time, but all requisitions shall be subject to the approval of each of Ajax, Pickering and Whitby, and the provisions of subsection (2), above, shall apply, mutatis mutandis. 14. 15. 16. TERM, EXPIRY & TERMINATION The term of this Agreement shall commence on February 8th, 1982 and shall expire at midnight on December 31st, 1984, unless earlier terminated. This Agreement may be terminated on December 31st in any year during its term by any Party hereto upon six months prior written notice given by delivery to the Town Clerk of each of the other Parties on or before midnight on June 30th in the year. Unless this Agreement is renewed or replaced, and then subject to the terms of such renewal or replacement, upon the expiry or earlier termination of the term of this Agreement, (a) all outstanding liabilities incurred by the Parties through the properly conducted actions of the Committee shall be settled and paid, in the last approved proportions, by the Parties; (b) all moneys under the control of the Committee shall be returned to the Parties, in the last approved proportions; and (c) the Premises, including all buildings, structures, equipment and related appurtenances, shall be disposed of, and the proceeds of such disposition distributed equally amongst Ajax, Pickering and Whitby. 17. 18. 19. INTERPRETATION schedules "A" and "B" attached hereto shall form part of this Agreement. This Agreement and everything herein contained, shall enure to the benefit of, and be binding upon, the Parties hereto, and their respective successors, if any. This Agreement, and any of the rights, privileges and obligations herein contained, is not assignable by any Party hereto to any other Party or person. Ail licence fees collected by the Society in accordance with this Agreement shall be remitted to the respective Municipalities at the same time as the monthly report required in accordance with Schedule "D" hereof. L .,~'~ of operation set forth in Sc>~e,:,~[~ ', ': her(to shall be main- tained by the 5c,:i~ty; (b) to maintain at all times three suitable ~ehicles in proper work~! order for the (c) (d) (e) (f) ~3- use of the aforesaid staff, to pay all operating and other costs associated with such vehicles and to maintain personal injury and property damage insurance on each vehicle operated by it in connection with the operation of the animal control unit and the provision of services required by this Agreement in amounts that are satis- factory to the Municipalities; to keep the Society, and each Municipality as a named insured, property insured not only with respect to the aforesaid vehicles, but also with respect to public liability and property damage including claims with respect to injury to and loss or death of any animal in the following amounts with respect to each occurrence:- Public Liability Property Damage $1,000,000.00 $ 50,000.00 It is further understood and agreed that there shall be no deductible payable by any Municipality with insurance; to receive, the owners, respect to the aforesaid impound and hold for claiming by any animal delivered to the Society's animal shelter by any animal con- trol officer or other person and to dispose of sa~e by sale or destruction; to charge such pound and other fees as may be approved from time to time by the respec- tive Municipalities; to deliver to each Municipality a monthly report in accordance with the provisions of Schedule "D" hereto; (g) to provide a humane method for the killing of animals; (h) to dispose of the bodies of all animals so killed in accordance with applicable legal requirements; (i) upon reasonable notice, to allow when requested by school authorities "open house" days and school "guided tours" in an effort to promote better understanding of animal control problems with citizens at large; (j) to maintain adequate telephone lines so that residents of each Municipality may make tele- phone contact with the Society without incurring a long distance charge; (k).to investigate all complains from residents of each MuniciPality regarding stray animals running at large in such Municipality and if the complaints are justified in accordance with the By-laws relating thereto, the Society will utilize its best efforts to remove the animals to the animal shelter; (1) to make available any of its employees having any relevant knowledge relating to giving evi dende or otherwise assisting with respect to any prosecution implemented under the afo~e- said By-laws by any of the Municipalities; (m) to require any owner claiming an unlicensed dog, when a licence is required by the r~spective Municipal By-law, to purchase a licence through the Society prior to returnin said dog to the owner. (n) to render courteous and prompt servi~e to all citizens' enquiries; (o) - 5 - to indemnify the Municipalities and each one thereof against all manner of claims, damages, loss, costs and charges whatsoever, whether for injuries to persons or animals or loss of life or damage to property or otherwise, suffered by such Municipality or Municipalities or its or their property directly or indirectly in respect of either any matter or thing arising from the Society's occupancy or use of the aforesaid premises or out of the implementation of this Agree- ment by the Society or any operation in connection therewith. 9. Within two (2) months of the completion of the acquisition of the said lands in accordance with Section 1. hereof, outside lands. the Society shall remove at its sole expense, the cat accommodation presently situate on the subject 10. (a) (b) (c) The Municipalities hereby grant to-the Society the right in the nature of a licence to use'the lands and premises more particularly described in Schedule "A" hereto for the purposes of carrying out its obligations hereunder PROVIDED THAT such right shall be a licence only and ~hall not under any circumstances, ~constitute a partnership, employment, agreement, lease, joint venture or other parties hereto; such licence shall relationship between the continue during the term of this Agreement and shall terminate and be of no further force and such Agreement; The Society shall be effect upon termination of at liberty to carry'out any other responsibilities it may have under the Ontario Society for the Prevention of Cruelty - 6 - to Animals Act, 1980, R.S.O., Chapter 356, or otherwise, PROVIDED THAT the Society's obligations to the Municipalities hereunder shall be paramount and shall be carried out prior and in preference to such other obligations. Should the Municipalities, at any time during the term hereof feel that the Society is neglecting its obligations to them hereunder in favour of its other obligations, the Municipalities may termi- nate this Agreement, including the aforesaid licence, as hereinafter provided; The Society shall be responsible for the normal caretaking requirements, including the removal of snow and the cutting of grass, with respect to the aforesaid lands and premises, ~including any buildings thereon and equipment associated therewith. The Municipalities shall be respon- sible for the maintenance and general repair of the said buildings. 11. (a) The Municipalities agree: to pay the-Society an amount of FIVE ($5.00) DOLLARS per day for any animal-it has been instructed to retain by the Medical Officer of Health, because the animal is suspected of having rabies, up to the length of time specified by the Medical Officer of'Health in accordance with the law; (b) to supply to the Society dog licences and receipts in order that the Society may licence unlicenced dogs as required hereby. 12. Notwithstanding any other provisions of this Agreement, it is expressly understood and agreed that the Society shall not transfer any staff, as listed in Schedule "C"', out of the Municipalities or use any such staff outside such Municipali- ties on a temporary basis or otherwise. 13. The term of this Agreement shall be from and including the 1st day of January to and including the 31st day of December, 19B2, PROVIDED THAT it may be terminated at any time by the Society or the Municipalities as aforesaid or other- wise upon notice in writing to the Society or the Municipalities Such notice shall be deemed to be served to the respective : parties on the day of its personal delivery to such parties or five days after the mailing thereof by pre-paid registered mail to such.parties and the date of termination shall be the 90th day after.aforesaid date of service. 14. It is further understood and agreed that the implementation of this Agreement is conditional upon the com- pletion of the acquisition of the accordance with Section 1. hereof. said lands and premises in 15.
