ALL AND SINGULAR that certain parcel or tract of land and
premises situate, lying and being in the Township of Pickering, in the
County of Ontario, being part of Lot 20, Broken Front Concession,
Range 3, in the Township of Pickering in the area to be known as
Industrial Turk shown on the proposed draft Plan produced herewith
dated November, 1962, prepared by the Township of Pickering Engineering
Department, and being composed of the Southerly 95 feet throughout from
front to rear of Lot 2 according to the aforesaid draft plan having an
approximate area of .68 acres more or less.

cash or certified cheque to the said /Vendor on this date as a deposit, and covenant, promise and agree to MW give back
on closing to Vendor a first open mortgage for $1,700 maturing in 5 years, interest at b2%
p er annum payable half.-yearly and to pay the balance of the said purchase price of $240
subject to adjustments on closing.
The Parties agree that the purchase price is based at the rate of $3,000 per acre and is
to be adjusted on this basis in accordance with Vendorts survey to be prepared before closing..
Purchaser agrees that the agreement is subject to approval of the Department of Municipal
Affairs and if such approval is refused or cannot be obtained before closing this agreement is.
to be null and void and any monies paid hereunder returned to Purchaser without interest or
deduction and neither Party to be under any further liability hereunder.
Purchaser agrees to construct on said lands an industrial building within 8 months of
date of closing herein and in the event it does no do so Purchaser shall resell to Vendor
said lands at the same price at which Vendor has sold the said lands to Purchaser ?'i' %Al
deliver an undertaking to this effect on closing.
PROVIDED the title is good and free from ,all encumbrances, except local rates, and except as aforesaid; said title to be examined
by me at my own expense, and the Purchaser is not to call for the production of any title Deeds or Abstract of Title, Proof or
Evidence of Title, or to have furnished any copies thereof, other than those in Vendor's possession or under his control. The
Purchaser accepts the property subject to the restrictions and covenants that run with the land providing the same have been
complied with. The Purchaser to be allowed 15 days from the date of acceptance hereof to investigate the title
at his own expense, and if within that time he shall furnish the Vendor in writing with any valid objection to the title which the
Vendor shall be unable or unwilling to remove, and which Purchaser will not waive, this agreement shall be null and void and the
deposit money returned to the Purchaser without interest.
The following items, the property of the Vendor, shall be included in this sale for the price above mentioned:-

This offer to be accepted by January 19 63 , otherwise void; and sale to be completed on or before the
15th day of February 19 63, on which date possession of the said premises is to be given to the
Purchaser, or he is to accept the present tenancies and to be entitled to the receipt of the rents and profits thereafter. This offer,
when accepted, shall constitute a binding contract of purchase and sale and time in all respects shall be the essence of this agreement.
It is agreed that there is no representation, warranty, collateral agreement or condition affecting this agreement or the real property
or supported hereby other than as expressed herein in writing.
Until completion of sale all buildings and equipment on the property shall be and remain at the risk of the Vendor until closing
and the Vendor will hold all policies of insurance effected on the property and the proceeds thereof in trust for the parties hereto, as
their interests may appear. In the event of damage to the said buildings and equipment before the completion of this transaction,
the Purchaser shall have the right to elect to take such proceeds and complete the purchase, or cancel this agreement, whereupon the
Purchaser shall be entitled to the return without interest of all monies theretofore paid on account of this purchase.
UNEARNED Fire Insurance Premiums, Fuel, Taxes, Interest, Rentals and all Local Improvements and Water Rates to be propor-
tioned and allowed to date of completion of sale; Deed or Transfer to contain covenant on part of the Purchaser to pay off said
assumed Mortgage, to be executed by Purchaser and prepared at the expense of the Vendor and Mortgage at the expense of
the Purchaser.
Each party is to pay the costs for registration and taxes on his own documents.
Whenever the singular or masculine are used in this Offer, they shall mean and include the plural and feminine if the context or the parties hereto so require.

A Bylaw of the Corporation of the Township of Pickering to
authorize the Corporation to sell certain Township Industrial Lands to
Satok Industrial Developments Limited.
WHEREAS the Township of Pickering is the Owner of part of
Lot 20, Range 3, Broken Front Concession in the Township of Pickering,
shown on plan attached hereto;
AND WHEREAS the Township desires to sell the Southerly 95
feet of Lot 2 shown on the said Plan to Satok Industrial Developments
Limited.
THEREFORE THE MUNICIPAL COUNCIL OF THE CORPORATION OF THE
TOWNSHIP OF PICKERING ENACTS AS FOLLOWS;
11 That the Township sell the aforesaid land to Satok Industrial
Developments Limited at the rate of $3,000 per acrei
2. That the Reeve and Clerk are authorized to execute the
Agreement of Sale and Deed to carry out the sale of the said
lands to Satok Industrial Developments Limited. The agreement
to be in the form attached hereto as Appendix A.
