The directions, information and suggestions are based upon the experience of many years on the part of the Women's Institutes in the Province. ORIGIN AND GROWTH OF WOMEN'S INSTITUTES "Without vision the people perish." Certainly the idea put forth in 1897 had vision; it was also practical, forthright, and a brave venture. Those who caught the vision could not have known how far-reaching the organization, to be known as the Women's Institute, could be in its influence toward better homemaking and good citizenship. While interest had been shown by Ontario women in lec- tures at the Farmers' Institutes as early as 1895-96, no action had been taken to organize a women's organization, in spite of the fact that the "Act Respecting Agricultural Societies" provided for the organization of women's groups as well as Farmers' Institutes. It was on February 19, 1897 that the first formal organiza- tion of a Women's Institute took place in Saltfleet Township, Wentworth County, through the combined efforts of Mr. Er - land Lee of the Farmers' Institute and Mrs. Adelaide Hood - less. This Branch, which is still active, is now known as the Stoney Creek Women's Institute. In 1897, it was stated: "The object of this Institute shall be, to promote that knowl- edge of Household Science which shall lead to improvement in household architecture with special attention to home san- itation, to a better understanding of the economic and hygie- nic value of foods and fuels, and to a more scientific care of children with a view of raising the general standard of the health of our people." First Women's Institute organized The First Object F.W.I.O. The Federated Women's Institutes of Ontario was orga- Organized nized on February 7, 1919, when it became apparent that there was need for co-ordination of the work of the Branch Institutes for more effectiveness. The Federated Women's In- stitutes of Ontario was made a body corporate under the Ag- ricultural Associations Act by an Order -in -Council of the Government of Ontario dated May 11, 1921. Through the Provincial organization, the Women's Institutes in Ontario are able to speak with authority as one voice. The Board of the Federated Women's Institutes of Ontario outlines the policies of the organization, and co-operates with the Home Economics Branch, Ontario Department of Agriculture and Food, in developing an interesting, educational and cultural programme of work for Ontario Women's Institutes. This programme, while carried on as various projects, is made available to all women of the community. F.W.I.C. The Federated Women's Institutes of Canada was orga- Organized nized on February 13, 1919, to co-ordinate the work of the Provinces, and to act as a clearing -house for their various ac- tivities. This organization also afforded opportunity to ini- tiate a programme which would provide the best possible re- sults for the efforts expended. Women's Institutes are now organized across Canada. A.C.W.W. The Associated Country Women of the World, organized Organized in 1930, is the international organization of the Women's In- stitutes and other women's organizations. Its purpose is to further international relations in every way, consistent with the aims of the organization. To-day's Those responsible for the original idea built better than Aim they knew. The problems of human beings and their rela- tionships have come close to every individual in a rapidly changing world, where distances are diminishing, and the problems of one nation have a bearing upon many others. Great social and economic problems confront women every- where, with the ensuing difficulties of harmonizing home and community life. Today Women's Institutes concern them- selves more with these problems than in the past. The dream of the founders was a good one as evidenced by the growth of this organization. THE WOMEN'S INSTITUTE ORGANIZATIONS The Branch Women's Institute is the first and most im- portant part of the entire organization, from which the rest of the organization has grown. Non -partisan, non-sectarian and non-racial, it is open to all women and girls who are inter- ested in the promotion of better living. The Branch Women's Institute is responsible for establishing an educational pro- gramme for the homemakers of the community. Its enter- prises should make the community a better place in which to live and to promote happy, wholesome social life. The Branches of the Junior Women's Institutes of On- tario are responsible to the Provincial Junior Women's Insti- tute organization. Two elected Board Directors ate members with full voting power on the Provincial Board of the Feder- ated Women's Institutes of Ontario. The Junior Women's In- stitutes receive guidance from the Provincial Board of the Federated Women's Institutes and from the Home Econom- ics Branch, Ontario Department of Agriculture and Food. The Junior Women's Institute is designed to develop leadership ability and to encourage its members to become more knowledgeable and responsible citizens. The District Women's Institute is an organization of all the Branch Institutes in a County, District or part thereof. Through the District, a Branch Institute gains stimulation and help by learning something of the achievements of other Branches. Delegates from each Branch attend a District An- nual, discuss reports, observe exhibits, and plan the pro- gramme for the coming year. The District co-operates with the Home Economics Branch, Ontario Department of Agri- culture and Food, in organizing educational and leadership programmes. Area Women's Institute. Ontario is divided into 14 Women's Institute Areas, which hold Conventions each year at a central place in the Area. Each Branch has the privilege of sending one voting delegate, and each District may send two voting delegates. The Area elects its own officers, who are responsible for planning and carrying out the programme for the Convention. For the purpose of electing the Provin- cial Board of Directors, the Areas are divided into 32 Subdi- visions. Federated Women's Institutes of Ontario (F.W.I.O.). All Women's Institutes (Branches, Districts and Areas within the Branch Junior District Area Provincial Provincial Province of Ontario) constitute the Federated Women's In - Board stitutes of Ontario. The Provincial Board is the governing body of the Feder- ated Women's Institutes of Ontario (F.W.I.O.). The Board Directors are elected from the Federation Representatives and their Alternates for the Subdivision of the Area in which they are situated. This election takes place at the Area Con- vention. The Board Director brings to the Board the opin- ions, requests, suggestions and problems from her Subdivi- sion, and takes back to the members recommendations of the Board. Thus the Board is able to act as a clearing -house, and to legislate in the interest of all the members in the organiza- tion. The Provincial Board Directors elect the Provincial President. National Federated Women's Institutes of Canada (F.W.I.C.) is the National organization. It co-ordinates the various Provincial units, and initiates nation-wide programmes. International Associated Country Women of the World (A.C.W.W.) is the international organization of Women's Institutes and other similar organizations with common aims and objects. The F.W.I.O. and F.W.I.C. are constituent societies of the A.C.W.W. 4 STRUCTURE OF THE ORGANIZATION The Branch Institute is represented at the District level by a District Director. The District Directors, with the District officers, form the District Board of Directors. The Branch Institute is represented at the Area Conven- tion by a voting delegate. Two Junior Institute Board Directors, elected by the vot- ing delegates at the Ontario Junior Women's Institute Con- ference, represent Junior Women's Institutes on the Provin- cial Board of the Federated Women's Institutes of Ontario. The District Institute is represented at the Area Conven- tion in which it is situated, by two voting delegates —the Dis- trict President and the Federation Representative. The Federation Representative is the link between the Provincial Board of Directors and the District which she rep- resents. Each Subdivision in the Province elects from the Feder- ation Representatives and their Alternates in that Subdivi- sion, one Director who serves on the Provincial Board of Di- rectors, and an Alternate. The Federated Women's Institutes of Ontario is repre- sented at the Federated Women's Institutes of Canada by their elected voting delegates on the F.W.I.C. Board of Di- rectors. The Federated Women's Institutes of Ontario is repre- sented at the Associated Country Women of the World by its voting delegates to the Triennial Conference, at which Con- ference international policies are decided and officers elected. By voicing an opinion and exercising a vote in the Branch, the District and the Area, the members of the Women's Institutes work together to influence and shape pol- icies in the community and the Province, as well as nation- ally and internationally. CONSTITUTION AND BY-LAWS OF THE FEDERATED WOMEN'S INSTITUTES OF ONTARIO The Constitution and By -Laws as revised were approved by Hon. Wm. A. Stewart, Ontario Minister of Agriculture and Food on the 15th day of December, 1971 as follows: CONSTITUTION FOR ALL LEVELS OF ONTARIO WOMEN'S INSTITUTES Objectives The objectives of all levels of Ontario Women's Institutes are: 1. (a) to help women acquire sound and approved home- making skills; (b) to help discover, stimulate and develop leadership; (c) to help identify and resolve needs and problems in the community; (d) to help promote the use of available resource ma- terials; and (e) to help develop better informed, happier and more useful citizens. Motto 2. The motto of the Women's Institute shall be: "FOR HOME AND COUNTRY" Policy 3. In the conduct of its affairs and in every phase of its work the Women's Institute shall be non -partisan, non-secta- rian and non-racial and all Women's Institutes shall be oper- ated for the equal good of all citizens. Colours 4. The colours of the Women's Institute shall be royal blue and gold. Official - 5. The official badge, to be worn by members of a Badge Women's Institute, shall be a badge, having a design regis- tered as a published artistic work under Serial No. 135453 in Register of Copyrights No. 39 kept at the Copyright Office, on the 31st day of October, 1959, under the Copyright Act (Canada), and consisting of a pierced oval with the letters "O.W.I." in gold interwoven in the centre of the oval, with a maple leaf in gold at either side, and with the words of the motto "FOR HOME AND COUNTRY" in gold lettering on a background of royal blue enamel around the outer portion of the oval. 6. CONSTITUTION AND BY-LAWS BRANCH WOMEN'S INSTITUTE All Branch Women's Institutes shall adopt the following Constitution (including page 6) and By -Laws. CONSTITUTION 1. This organization shall be known as the . . . .. . Name Branch Women's Institute of the Federated Women's Insti- tutes of Ontario, henceforth referred to as Branch. 2. The purpose of this organization shall be to develop Purpose the objectives of the organization as stated in the Constitu- tion, page 6. 3. (1) Membership in the Branch is open to women and Membership girls (16 years of age and over) upon payment of the annual fee. (2) A person may be a member of one Branch only dur- ing one fiscal year, except a Life Member (See Life Member- ship By -Law, 15, (10) page 14.) (3) Membership may be transferred from one Branch to another in accordance with the By -Laws. 4. The Secretary -Treasurer shall: Secretary- (a) be the custodian of the minute books, records and Treasurer assets of the Branch; (b) with the President, make out the agenda; (c) keep an accurate account of the minutes of the meetings and the roll call, in the book supplied by the Home Economics Branch, Ontario Depart- ment of Agriculture and Food; (d) bring to each meeting the minute book, the Hand- book, and any other By -Laws; (e) conduct the correspondence of the Branch; (f) notify the District Secretary -Treasurer of any change of officer; (g) with the President, sign the cheques for any with- drawal of funds; (h) keep an accurate record of the receipts and ex- penditures of the Branch and have her books ready for audit by April 1; (i) present a financial report at each regular meeting or when required; 0) collect the membership fees at the Annual Meet- ing; (k) prior to December 1, notify all members whose fees are in arrears; (1) hold fees of anyone who wishes to join after Janu- ary 1, until the Annual Meeting, so that person is a member for the remainder of the current year; (m) send the necessary fees and names and addresses of Life Members to the District Secretary -Trea- surer by February 1; (n) present a statistical report and the audited finan- cial statement at the Annual Meeting; (o) send the audited Financial Statement, the Form "E", and the Report of Meeting Form to the Dis- trict Secretary -Treasurer immediately after the An- nual Meeting of the Branch and in any event at least ten days prior to the District Annual; (p) perform such other duties as are associated with this office; and (q) upon retiring from office, transfer to her successor 10 within thirty days, all monies, books, papers and other property of the Branch in her possession. (N.B. See "Good Form for Secretary -Treasurers", page 79.) 6. The Auditors shall: Duties of (a) audit and sign the books of the Secretary-Trea- Auditors surer and the Financial Statement; and (b) prepare and present a written report for the An- nual Meeting, and move its adoption. (N.B. See "Good Form for Auditors", page 80. 7. The Executive Officers shall carry into effect the busi- Power of ness of the Branch as specified by the Membership or the Executive Board of Directors, but shall refer matters of an unusual character to the Board of Directors, or to a regular or special meeting of the Membership. 8. Each Branch Director shall: Duties of (a) be a member who is experienced in Women's In- Branch stitute work; and Directors (b) assist the Officers in planning and carrying on the work of the Branch. 9. The District Director shall: Duties of (a) be the liaison between the Branch and the District; District (b) attend all executive meetings of the Branch; Director (c) be a member of the District Board of Directors and shall attend all meetings of the Board; (d) assist the District Executive in carrying out the District programmes and report the work of the District Board of Directors to her Branch; (e) be one of the Branch Delegates to District Annual, by virtue of her office, and shall present to the Sec- retary -Treasurer of the Branch a complete list of names and addresses of officers and conveners elected at this meeting and a report of the District Annual to the membership; (f) remain on the District Board of Directors until the ratification of the election of District Director as her successor at the District Annual; and (g) be ratified at the District Annual by the Board Di- rector, but where a District Director or her Alter- nate is not present to be ratified, except through unforeseen circumstances, the Branch shall lose its vote at District Board of Directors meetings for Duties of Alternate the ensuing year. District 10. The Alternate to the District Director shall act as a 11 Director substitute for the District Director, should the occasion arise. Conveners of 11. (1) Each Branch shall elect a Convener of each Standing Standing Committee. Committees (2) The Standing Committee Conveners shall act as mem- bers of the Programme Committee, together with the Branch Executive and Branch Directors, to decide the extent to which each Standing Committee shall be featured in the Constitution (including page 6) and By -Laws. (3) Special emphasis shall be placed on those committees which most adequately meet local needs. Duties of 12. The Conveners of Standing Committees shall: Conveners of (a) be assisted by their committees in preparing a plan Standing Committees of work and carrying it into effect; (b) present a report of the year's programmes and projects at the Branch Annual Meeting, which shall include: (i) the name of the Standing Committee, (ii) the name of the Branch, and (iii) the name and address of the Convener; (c) meet with Executive prior to preparing annual re- ports to avoid duplication; (d) send a copy of the above report to the correspond- ing District Convener immediately after the Branch Annual Meeting; (e) maintain a file of reports and information to be given to her successor; (t) before retiring, complete all duties pertaining to her convenership immediately after the Branch Annual Meeting; and (g) upon retiring, include with her report the name and address of her successor. Duties of 13. The Public Relations Officer shall: Public (a) be a member of the executive; Relations Officer (b) arrange for the publicity of the activities and pro - mote the work of the Branch; (c) with the help of the Secretary -Treasurer, complete three copies of Annual Donations Form and Writ- ten Report, and present the report at the Branch Annual Meeting; (d) forward a copy of the report and form mentioned in Clause (c) to the District Public Relations Offi- cer immediately after the Branch Annual Meeting, 12 give one to the Branch Secretary -Treasurer, and keep one for her own files; and (e) maintain a file of reports and information to be given to her successor. (N.B. See "Good Form for Public Relations Officers", page 80.) 14. The Tweedsmuir History Curator shall: (a) be a Women's Institute Member; (b) convene a committee to work with her in the duties of compiling the Tweedsmuir History; (c) supervise and edit all data received for the Tweedsmuir History; (d) have custody of the Tweedsmuir History; (e) have all expenses incurred in preparing the Tweedsmuir History paid by the Branch; (f) prepare and present a report and exhibit the Branch Tweedsmuir History Book at a Branch meeting at least once yearly; (g) send a written progress report of the work in the Tweedsmuir History to the District Curator imme- diately after the Branch Annual Meeting; (h) be elected annually and may remain in office for not more than six years; and (i) return the Tweedsmuir History to the custody of the Branch, with all data and relevant material when she retires from the office of Curator. 15. (1) Life Membership may be granted by a Branch to a member, honouring her for her contribution to the organi- zation, provided she is an active member in good standing and has completed at least twenty-five consecutive years' membership in Branches in Ontario, including Junior Women's Institutes, immediately prior to the time the Life Membership is conferred. (2) Each Branch must determine the meaning of active member, and twenty-five years' consecutive membership is not the main consideration for awarding a Life Membership. (3) Life Membership must be approved by the Branch Board of Directors. (4) Application forms for Life Membership shall be for- warded on request by the Secretary -Treasurer of the Feder- ated Women's Institutes of Ontario. (5) Upon receipt of a properly completed application form and the sum of $25.00, and after approval under Sub- section (3), the Secretary -Treasurer of the Federated 13 Duties of Tweedsmuir History Curator Life Membership Ap roval of Life Membership Cost Women's Institutes of Ontario shall forward a Life Member- ship Certificate and Card for the Member. (6) The cost of the Life Membership Badge shall be borne by the Branch. (9) Life Membership is transferable to any Branch within Ontario upon receipt of the approval of that Branch. Life Member (10) In the event that a Life Member moves to another May Join Second locality, and the transfer of her Life Membership is not pos- Branch sible or desirable, she may join a second Branch by the pay - ment of the membership fee but the privileges of Life Mem- bership do not apply to the second Branch. (11) The Life Member shall be entitled to hold office and vote in one Branch. (12) Only those upon whom Life Membership has been conferred shall have the right to wear the Life Membership Badge. Delegates to 16. (1) Each Branch shall elect delegates to attend and District Annual vote at the Annual Meeting of the District. Meeting (2) The number of delegates shall be based on the paid membership of the previous fiscal year: 1. 3 delegates for a membership of 25 or less; 2. 4 delegates for a membership of 26 to 50; 3. 5 delegates for a membership of 51 to 75; 4. 6 delegates for a membership of 76 to 100; and 5. 7 delegates for a membership of over 100. (3) The newly elected President and newly elected Dis- trict Director shall, by virtue of these offices, be two of the Branch Delegates. (4) The travelling and living expenses of the delegates to the District Annual shall be paid from the funds of the Branch. (5) Only delegates from Branches, District fees of which have been sent to the District Secretary -Treasurer, shall have the right to vote. Delegate to 17. (1) Each Branch shall elect one voting delegate to at - Area Convention tend the Annual Convention of the Area in which the Branch is situated. 14 (2) The travelling and living expenses of the delegate shall be paid from the funds of the Branch. (3) Only the delegate from a Branch, Convention fees of which have been paid, shall have the right to vote. 18. (1) The Branch membership fee shall be One Dollar Membership ($1.00) per year, due at the Branch Annual Meeting. Fees (2) Prior to December 1, the Secretary -Treasurer shall notify all members whose fees are in arrears. (3) Only members, whose fees are paid for the coming year, may vote at the Branch Annual Meeting. (4) No membership fee for the current fiscal year shall be accepted by the Secretary -Treasurer after January 1. (5) Persons joining after January 1 shall be considered members for the coming year. 19. (1) By February 1 of each year, the Secretary -Tres- Fees to be surer shall forward to the Secretary -Treasurer of the District sent to to which the Branch belongs, fees for each paid -up member District (including those deceased) for the current fiscal year as fol- Secretary - Treasurer lows: 1. F.W.I.O.-50 cents; 2. F.W.I.C.-25 cents; 3. A.C.W.W.-2 cents; and 4. any District and Convention Fees. (2) The Branch shall be responsible for the District and Convention fees of Life Members. (3) Where Life Membership is conferred at District level, the Branch is relieved of the payment of District fees for that member. 20. (1) The fiscal year shall be from April 1 to March 31. Finances (2) All monies shall be deposited in a chartered bank or chartered trust company in the name of the Branch. (3) Cheques for the withdrawal of any funds shall bear Withdrawal the signature of both the President and Secretary -Treasurer. of Funds (4) Expenditures of Branch funds must be approved by a Approval of meeting of the membership. Expenditures (5) A Branch may give to its Board of Directors power of emergency to authorize the spending of funds within limits set by the Branch. (5) It shall be the duty of the President, or in her absence the Vice -President, to call a special meeting upon the appli- cation of the majority of the Board of Directors of the Branch, or one -quarter of the membership. (6) No business shall be transacted at a special meeting other than that for which the meeting is called. Annual (7) The Annual Meeting shall be held in April, at least Meetings ten days prior to the Annual Meeting of the District of which the Branch is a part. Joining by 22. (3) The Secretary -Treasurer of the Branch, from which the transfer was made, shall write "Transferred" beside the Member's name on the Roll. (4) Persons joining after January 1 shall be considered members for the coming year. Transfer of (5) A Life Member, wishing to transfer Life Membership Life Membership to another Branch, shall present her Life Membership Cer- tificate to the second Branch where the Secretary -Treasurer shall record the name and address of the Life Member, along with the number of the certificate and date of transfer, and send this information to the Secretary -Treasurer of the Fed- erated Women's Institutes of Ontario. (6) The Secretary -Treasurer of the Branch shall enter the name of the Life Member on the membership roll and return the certificate to the member. (7) A Life Member may join a second Branch. Quorum 23. (1) One-third of the membership shall form a quo- rum at monthly, annual or special meetings. 16 (2) One-half of the Executive or Board of Directors shall form a quorum for meetings. (3) No business shall be transacted unless a quorum is present. 24. Each Branch may adopt from time to time, such By - Laws as may be deemed necessary, provided they are in no way inconsistent with the Constitution and By -Laws con- tained in the Handbook. 25. (1) Any member may present a Notice of Motion to adopt, amend or repeal local By -Laws. (2) One month's notice shall be given in writing preced- ing the meeting at which motion is to be made and every member shall be notified of the proposed motion in the exact terms in which it is to come before the meeting., (3) A Notice of Motion does not require a seconder. (4) When the proposed motion comes before a Branch meeting, it shall be considered as a regular motion, but re- quires an affirmative vote of two-thirds of members present for the adoption, amendment or repeal of the By -Law. (5) The provisions respecting "Notice of Motion", page 75 in the Handbook, shall be followed as nearly as may be practicable. 26. (1) A Branch may be organized in any locality where a sufficient number of women will hold monthly meetings. (2) The group wishing to organize a Branch shall get in touch with the District President, District Secretary -Treasurer and the Federation Representative of the District in which the Branch will be situated, at least two of whom shall be in attendance at the organization meeting and one of whom shall preside at the election of officers. (3) The necessary forms will be provided by the office of the Federated Women's Institutes of Ontario upon request of the District Secretary -Treasurer. (4) A ten days' notice of the organization meeting shall be given in the community. (5) Such a meeting shall be attended by at least ten per- sons (seven in Northern Ontario) eligible to become mem- bers or vouched for as members. (6) The completed Report or Organization form shall be sent to the office of the Federated Women's Institutes of On- tario, and the duplicate form to the Home Economics Branch, Ontario Department of Agriculture and Food, ac- companied by a certified list of at least ten paid members, or seven in Northern Ontario. 17 Provision for Local By -Laws Notice of Motion to Adopt, Amend or Repeal Local By -Laws How to Organize A g omen's Institute How to 27. (1) Any Branch considering disbanding shall get in Disband a touch with the District President, District Secretary-Treasurer- Women's and Federation Representative of the District in which the Institute Branch is situated, and these officers shall attend the next regular meeting of the Branch to discuss the matter. (2) Should the Branch still wish to disband, a Notice of Motion shall be given at a regular monthly meeting that ... . Women's Institute disband. (3) A copy of the Notice of Motion to disband shall be sent to every member of the Branch, and shall be voted upon at the next regular meeting. (4) An affirmative vote of two-thirds of the members present shall be required to carry the motion. (5) Upon disbanding, all funds and official records of the Branch (including Tweedsmuir History) shall be forwarded to the District Secretary -Treasurer in which the Branch was situated, and shall be held in trust by the District for a period of three years. (6) Should the Branch not reorganize within three years, the assets become the property of the District, and final dis- position of the Branch Tweedsmuir History shall be the re- sponsibility of the District Board of Directors. (7) When a Branch is disbanded, the Branch Secretary - Treasurer shall notify the District Secretary -Treasurer who then shall notify the Area Secretary -Treasurer, the Provincial Board Director for that Subdivision and the office of the Federated Women's Institutes of Ontario. (8) No Branch, having disbanded, shall reorganize within one year. CONSTITUTION AND BY-LAWS JUNIOR WOMEN'S INSTITUTE All Junior Women's Institutes shall adopt the following Constitution (including page 6) and By -Laws. CONSTITUTION Name 1. This organization shall be known as the .. . . . Junior Women's Institute. Purpose 2. The purpose of this organization shall be: 18 1. to assist young women in personal growth and to develop leadership abilities. 2. to promote approved practices in homemaking and a better understanding of the ideals and standards con- tributing to a successful home life. 3. to assist and encourage young women to become knowledgeable and responsible citizens. 3. (1) Any young woman, who has reached the age of Membership fourteen years, shall be eligible for membership in a Branch of the Junior Women's Institute. (2) A girl may be a member of a Junior Women's Insti- tute and a Women's Institute during one fiscal year. (3) Membership may be transferred from one Branch of a Junior Women's Institute to another Branch of a Junior Women's Institute, or from a Branch of a Junior Women's Institute to a Branch of a Women's Institute. 4. (1) There shall be an annual membership fee of one Fees dollar ($1.00) per member. (2) The Secretary -Treasurer shall collect the membership fee at the Annual Meeting of the Branch and shall send the Provincial Fee with an audited financial report from the previous year, and the name and address of each member to the Provincial Secretary -Treasurer of the Junior Women's In- stitute by March 1. 5. To the oval of the official badge, there shall be at- Badge tached a royal blue enamel bar bearing the word "Junior". 6. (1) A Branch of a Junior Women's Institute shall hold Meetings monthly meetings at a date and time provided for in the By - Laws. (2) The programme for the regular meetings of a Branch of the Junior Women's Institute shall conform with the ob- jectives of the Junior Women's Institutes of Ontario. (3) The Annual Meeting of a Branch of the Junior Women's Institute shall be held in January. (4) At the Annual Meeting of a Branch of the Junior Women's Institute, the members shall elect a President, one or more Vice -Presidents, a Secretary -Treasurer, two Branch Directors and a Public Relations Officer. (5) The Books of the Secretary -Treasurer shall be closed as of December 31. An audited financial statement shall then be prepared for presentation at the Annual Meeting. Fiscal Year 7. The fiscal year shall be January 1 to December 31. 8. The Executive Officers of a Branch of the Junior Executive Officers 19 Women's Institute shall be the President, the Vice -Presidents the immediate Past President, the Secretary -Treasurer, two Directors and a Public Relations Officer. Committees 9. Committees shall be appointed as required to carry on an effective programme. Auditors 10. (1) Two auditors, not members of the Executive, shall be appointed at the Annual Meeting. (2) If these appointed auditors are not available for work before the Annual Meeting, the President of the Branch shall have the power to appoint a substitute or substitutes. Reports 11. (1) An audited financial report shall be presented at the Annual Meeting of the Branch of the Junior Women's Institute. (2) The Public Relations Officer shall present a report of the activities of the Junior Women's Institute at the Annual Meeting, and immediately after that Meeting, send a copy of this report to the Junior F.W.I.O. Board Director. Conventions 12. (1) The Branch of a Junior Women's Institute may elect one member to act as a delegate to the Annual Conven- tion of the Women's Institutes of the Area in which the Ju- nior Branch is situated. (2) Wherever possible, a Branch of the Junior Women's Institute shall assume the responsibility for the expenses of their delegate attending the annual Women's Institute Con- vention of the Area. (3) Delegates, whose expenses are paid by a Branch of the Junior Women's Institute, shall attend sessions of the F.W.I.O. Area Convention. Funds 13. (1) The funds of a Branch of a Junior Women's Insti- tute shall be deposited in a chartered bank or a chartered trust company, and be withdrawn only on the signature of both the President and the Secretary -Treasurer. (2) All expenditures other than postage and stationery, shall be approved by the members of a Branch at a regular meeting and receipts shall be secured for all expenditures of $1.00 or more. Special 14, (1) The President may direct the Secretary -Treasurer meetings to call a special meeting if she thinks a meeting to be neces- sary. (2) The members may request the President to call a spe- cial meeting if they think a meeting to be necessary. Quorum 15. A quorum of a monthly, Annual or special meeting shall consist of one-third of the membership. 20 BY-LAWS 1. (1) The method of electing officers, conveners and others necessary for the efficient conduct of the business of the Junior Women's Institute shall be chosen from the sec- tion of the Handbook —"Elections", page 63. (2) Members whose fees are paid for the current fiscal year are eligible for election. (3) Officers and conveners shall be elected at the Annual Meeting of the Branch for a term of one year. (4) No person may be elected to the same office or con- venership for more than three consecutive years. 2. (1) Any vacancy of office, other than that of President, by resignation, death or otherwise, shall be filled by election at a meeting of the Branch (2) In the event of the death or resignation of the Presi- dent, the first Vice -President automatically becomes Presi- dent. (3) Notwithstanding Subsection (1), for any office where an alternate has been elected, the alternate shall complete the year. 3. The President shall: (a) preside at all meetings of the Institute, and see that the business is conducted in an orderly manner; (b) with the Secretary -Treasurer, make out the agenda; (c) with the Secretary -Treasurer, sign the cheques for any withdrawal of funds; (d) be an ex-officio member of each committee; and (e) perform such other duties as are associated with this office. 4. The Vice -Presidents shall: (a) assist the President in the work of the Institute. (b) in the absence of the President, the first Vice -Presi- dent shall officiate in that office. 5. The Secretary -Treasurer shall: (a) be the custodian of the records of the Institute; (b) keep an accurate account of the minutes of the meetings and the roll call, in the book supplied by the Home Economics Branch, Ontario Depart- ment of Agriculture and Food; (c) have the Minute Book, a copy of the Handbook and any other By -Laws, and the list of members, at each meeting for ready reference; 21 Elections Tenn of Office Vacancies Duties of President Duties of Vice - Presidents Duties of Secretary - Treasurer (d) with the President, make out the agenda; (e) conduct the correspondence of the Institute; (f) with the President, sign the cheques for any with- drawal of funds; (g) keep an accurate record of the receipts and ex- penditures of the Institute; (h) give a financial report at each regular meeting, or when required; (i) collect a Provincial Fee of $1.00 per member to be forwarded to the Junior Provincial Secretary -Trea- surer by March 1; 0) notify .all members in arrears of the payment of their fees; (k) present an audited financial report at the Annual Meeting; (1) perform such other duties as are associated with this office; and (m) hand on to her successor in office within thirty days, all monies, books and papers, and other property of the Junior Women's Institute in her possession when her term of office is completed. Duties of 6. The Auditors shall: Auditors (a) audit and sign the books of the Secretary -Trea- surer; (b) provide a written report for the Annual Meeting; and (c) audit and sign the financial statement to be sent to the Secretary -Treasurer of the Junior Women's In- stitute. Duties of 7. (1) The Executive Officers shall carry into effect the Executive business of the Junior Women's Institute as specified by the Officers membership. (2) Matters of an unusual character shall be referred by the Executive Officers to a regular or special meeting of the Duties of membership. Branch 8. The Branch Directors shall assist the officers in plan - Directors ning and carrying on the work of the Institute. Duties of 9. The Public Relations Officer shall arrange for the pub - Public licity of the events and work of the Institute. Officeions 10. (1) Two Junior F.W.I.O. Board Directors, who are Junior Junior Women's Institute members, shall be elected by the O. voting delegates at the Annual Junior Women's Institute Board Board Convention, one to be elected each year for a term of two Directors years. 22 (2) The Junior F.W.I.O. Board Director serving her sec- ond term will act as Junior Women's Institute Convener on the Provincial level. (3) The Junior F.W.I.O. Board Directors shall have the same authority on the Provincial Board as any other Direc- tor. (4) No Junior Director shall be eligible after the two-year term for re-election as a Junior Board Director, but may be elected as an F.W.I.O. Board Director if and when she has the required qualifications. 11. (1) Any Junior Women's Institute may, at a regular, special, or general meeting called for that purpose, make By - Laws and regulations not inconsistent with the Junior Women's Institute Constitution, for its general management, provided one month's notice respecting the proposed By - Laws or regulations is given prior to such meeting. (2) For the purpose of Subsection (1), an affirmative vote of two-thirds of the members present is required. (3) No business can be transacted unless a quorum is present. (4) Any Junior Women's Institute may change, amend or repeal its By -Laws or regulations in accordance with the procedures in this section for the making of By -Laws and regulations. THE ANNUAL PROVINCIAL CONVENTION OF THE JUNIOR WOMEN'S INSTITUTES OF ONTARIO 1. A Convention of the Junior Women's Institutes shall be held annually. 2. At the Convention, a Provincial Executive shall be elected who shall have full charge of the arrangements for the next Annual Convention. 3. The Convention Committee shall consist of a Chair- man, the immediate Past President, one or more Vice -Presi- dents, a Secretary -Treasurer, two or more Programme Advi- sors, a Public Relations Officer, the two Junior Directors of the Provincial Board of the Federated Women's Institutes of Ontario, and the F.W.I.O. Board Director in the Subdivision 23 Provision for Local By -Laws Notice of Motion to Adopt, Amend or Repeal Local By -Laws where the Annual Junior Women's Institute Convention is being held. 4. The time, place and programme arrangements for the next Annual Convention shall be made by the newly elected Convention Committee. 5. Committees shall be appointed as required to carry on an effective programme for the Annual Convention of the Junior Women's Institutes of Ontario. 6. The Secretary -Treasurer shall present an audited finan- cial report of all finances involved with executive meetings and the Annual Convention of the Junior Women's Institute. 7. The Secretary -Treasurer shall present a summary of the financial reports that she has received from the Branch Secretary -Treasurers, and after the Annual Convention the Secretary -Treasurer shall send the summary and the report referred to in Section 6 to the Secretary -Treasurer of the Federated Women's Institutes of Ontario. 8. The Public Relations Officer for the Annual Junior Women's Institute Convention shall receive the reports of the Branch Public Relations Officers and present a summary of these reports at the Annual Convention. After the Con- vention, she shall send her summary to the Junior F.W.I.O. Board Director who is serving her second term. F.W.I.O. 9• (1) Two members of the Junior Women's Institutes of Board Ontario shall be elected to represent the Junior Women's In - Directors stitutes on the Provincial Board of Directors of the Federated Women's Institutes of Ontario, at the Annual Convention of the Junior Women's Institutes, and one shall be elected each year for a term of two years. (2) The Junior F.W.I.O. Board Director serving her sec- ond term shall act as a Junior Women's Institute Convener at the Provincial level. (3) The Junior F.W.I.O. Board Director shall have the same authority on the Provincial Board as any other Direc- tor. (4) No Junior Director shall be eligible after the two year term, for re-election as a Junior Board Director, but may be elected as an F.W.I.O. Director if and when she has the re- quired qualifications. 24 CONSTITUTION AND BY-LAWS DISTRICT WOMEN'S INSTITUTE All District Women's Institutes shall adopt the following Constitution (including page 6) and By -Laws. CONSTITUTION 1. The Provincial Board of the Federated Women's Insti- tutes of Ontario authorizes the formation and re -organization of a District Women's Institute. 2. This organization shall be known as the . ... . Dis- Name trict Women's Institutes of the Federated Women's Institutes of Ontario, henceforth referred to as District. 3. The purpose of this organization shall be: Purpose (a) to promote the welfare, supplement the efforts, and increase the usefulness of the Branches within the District; (b) to extend the work to new centres; (c) to arrange for District meetings; and (d) to promote co-operative educational programmes for the District. 4. Membership in the District shall be composed of mem- District bers in good standing from the Branches. Membership 5. (1) The District Life Membership Badge shall be the District Life Branch Life Membership Badge, with a chain of eight links Membership attached to the left hand side of the bar, and the chain at- Badge tached to a bar of royal blue enamel, with the word "Dis- trict" inscribed in gold. (2) No member, other than one upon whom a Branch Life Membership has been conferred prior to the conferring of a District Life Membership, shall be entitled to wear the District Life Membership Badge. 6. (I) The Annual Meeting of the District shall be held Annual in May or June. Meeting (2) Only those elected as voting delegates from the Branches within the District shall be entitled to vote at Dis- trict Annuals. (See Branch By -Law 16, page 14.) (3) A District Executive Officer may vote only if elected Right as a Delegate from her Branch. to Vote 7. At the District Annual, the delegates, in accordance with the By -Laws, shall: Elections (a) elect a President, two or more Vice -Presidents, a 25 Federation Representative and Alternate, a Secre- tary -Treasurer, a District Delegate and Alternate, a Public Relations Officer, a Tweedsmuir History Curator and Conveners of Standing Committees; and (b) appoint or elect two Auditors, not officers of the District. Executive 8. (1) The Executive Officers of the District shall be the President, all Vice -Presidents, the immediate Past President, the Secretary -Treasurer, the Federation Representative and the Public Relations Officer. Right Vote (2) At meetings of the Executive of the District, each Of - to ficer shall be entitled to vote on matters to be decided at the meeting. Board of 9. (1) The Board of Directors shall be the Executive Of - Directors ficers and the District Director from each Branch, and Con- veners of Standing Committees may be added in an advisory capacity. (2) A District Director may be chosen as a Vice -President, Secretary -Treasurer or Federation Representative. (3) The retiring District Director shall remain on the Dis- trict Board of Directors until the ratification of the election of the District Director as her successor at the District An- nual. (4) The retiring Provincial Board Director shall be a member (with or without voting power) of the Board of Di- rectors of the District in which she is a member, for one year immediately after the completion of her term of office on the Provincial Board. Right Vote (5) At meetings of the Board of Directors of the District, to the Executive Officers and the District Directors from each Branch shall be entitled to vote on matters to be decided at the meeting. Standing 10. Standing Committees shall correspond with the Committees Standing Committees functioning in the Branch, Area and Province, as established by the Provincial Board of the Fed- erated Women's Institutes of Ontario. Special 11. Committees shall be appointed as required to take Committees charge of such administrative duties as membership, finance, public relations, entertainment, programmes, study courses and others. Fiscal Year 12. The fiscal year shall be May 1 to April 30. BY-LAWS 1. (1) The method of electing officers and conveners shall be chosen from the section of the Handbook—"Elec Lions", page 63. (2) The Board Director shall preside at elections at Dis-„ trict Annuals, except in her own District. (3) To qualify as a District Officer, the member should be one experienced in Women's Institute work. (4) An officer of a Branch may also act as a District offi- cer. (5) The newly elected officers shall assume office at the conclusion of the Annual Meeting, and shall be fully in- formed at once, by the retiring officers regarding any work arising during the year which has not been completed. (6) Officers shall be elected at the Annual Meeting for a term of one year, and no person may be elected to the same office for more than six consecutive years. (7) Conveners shall be elected for a term of one year, and no person may be elected to the same convenership for more than three consecutive years. 2. (1) Any vacancy, other than that of President, shall be filled by election at the next meeting of the District Board of Directors. (2) In the event of the death or resignation of the Presi- dent, the First Vice -President automatically becomes Presi- dent. (3) Notwithstanding Subsection (1), for any office, where an Alternate has been elected, the Alternate shall complete the year. 3. The President shall: (a) preside at all District meetings; (b) declare the motion lost in the event of a tie vote; (c) with the Secretary -Treasurer and the Board of Di- rectors, make out the agenda; (d) with the Secretary -Treasurer, sign the cheques for any withdrawal of funds; (e) be an ex-officio member of all committees, but only have a vote if named a member of the com- mittee; (f) co-operate with the Board of Directors in main- taining a District programme; (g) visit each Branch within the District during her term of office; (h) be a voting delegate to the Area Convention, and 26 l 27 Elections Term of Office for Officers Term of Office for Conveners Vacancies in Offices Duties of President (i) perform such other duties as are associated with this office. (N.B. See "Good Form for Presidents", page 78.) Duties of 4. The Vice -Presidents shall: Vice- Presidents (a) assist the President in the work of the District; and (b) in the absence of the President, officiate in that of- fice. Duties of 5. The Secretary -Treasurer shall: Secretary- Treasurer (a) be the custodian of the minute books, records and assets of the District; (b) with the President and the Board of Directors, make out the agenda; (c) keep an accurate account of the minutes of the meetings in a book supplied by the Home Eco- nomics Branch, Ontario Department of Agricul- ture and Food; (d) bring to each meeting, the minute book, the Hand- book, and any other By -Laws; (e) conduct the correspondence of the District; (f) notify the Area Secretary -Treasurer and the office of the Federated Women's Institutes of Ontario of any change of officers in District and Branch; (g) with the President, sign the cheques for any with- drawal of funds; (h) keep an accurate record of the receipts and ex- penditures of the District, and have her books au- dited before the District Annual; (i) present a financial report when required, and an audited financial statement at the District Annual; (j) receive the Annual Reports (from the Minute Book and Form "E") of the Branches, and compile the required annual statement for the Home Econom- ics Branch, Ontario Department of Agriculture and Food (using Forms "A", "B" and "C" in the Dis- trict Minute Book) to qualify for the District Grant; (k) receive the "Annual Report of Meetings" form and Form "E" from each branch in the District, record the important information, and forward the reports to the Home Economics Branch, Ontario Department of Agriculture and Food; (1) receive the F.W.I.O, fee of 50 cents per member, the F.W.I.C. fee of 25 cents per member and the A.C.W.W. fee of 2 cents per member, from the 28 Branch Secretary -Treasurers by February 1, and forward same to the F.W.I.O. office prior to April 1, accompanied by the number of members per Branch and the amount of each fee from each Branch; (m) forward the names of Life Members, compiled from the lists received from the Branch Secretary - Treasurers; (n) receive convention fees from Branches and for- ward same to Area Secretary -Treasurer by April 1; (o) receive two credential forms, one for the Feder- ation Representative and one for the Alternate, from the Provincial Board Director at the District Annual to be completed, certified and given to the Federation Representative OR Alternate prior to Area Convention; (p) receive from the Provincial Secretary -Treasurer a list of those eligible for nomination as Board Di- rector or Alternate, when it is the turn of the Dis- trict to be represented on the Provincial Board, and send a copy of the list to the Secretary -Trea- surers of the other Districts in the Subdivision be- fore their District Annuals. Each District Secre- tary -Treasurer in the Subdivision shall forward such list to the Branches prior to September 1; (q) notify both the Home Economics Branch, Ontario Department of Agriculture and Food, and the of- fice of the Federated Women's Institutes of On- tario, when a new Branch is organized in the Dis- trict or when a Branch wishes to change its name or disband; (r) perform such other duties as are associated with this office; and (s) upon retiring from office, transfer to her successor all monies, records, supplies, correspondence and other property of the District in her possession, within ten days after the Annual Meeting of the District. (N.B. See "Good Form for Secretary -Treasurers", page 79.) 6. The Auditors shall: Duties of (a) audit and sign the books of the Secretary -Tres- Auditors surer and the financial statement; and (b) prepare and present a written report for the Dis- 29 trict Annual and move its adoption. (N.B. See "Good Form for Auditors", page 80.) Election 7. Each District shall: District (a) have two voting delegates to the Area Convention, Delegates namely the Federation Representative and the District President, who shall be elected at the Dis- trict Annual; and (b) have Alternates for both offices, who shall be elected at the District Annual. Federation 8. The Federation Representative shall: Representa- (a) be a Branch member who has held tive (i) either of the following offices for at least one year: District President or District Secretary -Trea- surer, OR (ii) either of the following offices for at least two years: Branch President, Branch Secretary -Trea- surer, Branch Secretary or Branch Treasurer, AND has been in addition a member of the Dis- trict Board of Directors for at least one year; (b) be eligible for election as Provincial Board Direc- tor or Alternate Board Director, (c) be the liaison between the Provincial Board and the District; (d) attend the Area Convention as a voting delegate from her District, and take back from the Conven- tion to the District Secretary -Treasurer the full names and addresses of the Area Officers and Conveners; (e) not serve more than one year, except when she is elected Provincial Board Director or Alternate: (f) be eligible for election again after that District was last represented on the Provincial Board; (g) continue in this office for her District, while serving as the Provincial Board Director, but is re- quired to be elected as Federation Representative at each of the District Annuals for the next two years; (h) present to the Provincial President or her repre- sentative at the Area Convention, Credential Forms, supplied by the Provincial Board, which have been completed and certified by the District Secretary -Treasurer; and (i) have her travelling expenses to the Area Conven- 30 tion paid by the Secretary -Treasurer of the Feder- ated Women's Institutes of Ontario, and her living expenses paid by the District, but receipts or vou- chers must be submitted with accounts. 9. The Alternate Federation Representative shall: Alternate (a) have the same qualifications and responsibilities as Federation outlined in By -Law 8 for Federation Representa- Representa- tive; and tive (b) act only when the Federation Representative is, unable to fulfil her duties. 10. The District Delegate shall: District (a) attend all sessions of the Area Convention, vote on Delegate behalf of the District and report back to the Board of Directors any business arising at the Conven- tion which affects the District; and (b) have her travelling and living expenses to the Area Convention paid by the District. 11. The Board of Directors shall: Duties of (a) plan the District Annual; Board of (b) recommend projects for the good of the District; Directors and (c) be responsible for carrying into effect any pro- gramme of work decided upon at the District An- nual. 12. (1) Each District shall elect a Convener for each Conveners of Standing Committee. Standing (2) The Branch Convener of each Standing Committee Committees will form the District Committee to work with the District Convener. 13. The District Conveners of Standing Committees Duties of shall: Conveners of (a) give guidance and suggestions for study to the Standing Branch Conveners, by meeting with them at least Committees once a year, by correspondence, or otherwise; (b) receive Branch annual reports, and from these pre- pare a report, including any District activities, for presentation at the District Annual, which shall in- clude: (i) the name of the Standing Committee, (ii) the name of the District, (iii) the total number of Branches in the District, (iv) the number of Branches reporting, and (v) the name and address of the Convener; 31 13. (c) attend the District Annual, and any other meetings as requested by the District Board of Directors; (d) send a copy of the report to the corresponding Area Convener immediately after the District An- nual; (e) maintain a file of reports and information to be forwarded to her successor; (f) before retiring, complete all duties pertaining to her convenership immediately after the District Annual; and (g) upon retiring, include with her report the name and address of her successor. Duties of 14. The Public Relations Officer shall: Public Relations (a) be a member of the Executive; Officer (b) arrange for the publicity of the activities and pro - mote the work of the District; (c) receive the Annual Donations Form and Written Report from the Branch Public Relations Officers, compile from them three copies of the Annual District Donations Form, adding any donations made by the District, and present both reports at the District Annual; (d) forward a copy of the Written Report and Dona- tions Form to the Area Public Relations Officer immediately after the District Annual, give one to the District Secretary -Treasurer and keep one for her own file; and (e) maintain a file of reports and information to be given to her successor. (N.B. See "Good Form for Public Relations Officer", page 80.) Duties of 15. The Tweedsmuir History Curator shall: Tweedsmuir (a) be a Women's Institute Member; History Curator (b) convene a committee to work with her in the duties of compiling the Tweedsmuir History; (c) supervise and edit all data received for the Tweedsmuir History; (d) have custody of the Tweedsmuir History; (e) have all expenses incurred in preparing the Tweedsmuir History paid by the District; (f) prepare and present a report and exhibit the Dis- trict Tweedsmuir History at the District Annual; (g) send a written progress report of the work in the Tweedsmuir History annually to the Area Curator immediately after the District Annual; 32 (h) be elected annually and may remain in office for not more than six years; and (i) return to the custody of the District, the Tweeds- muir History, with all data and relevant material when she retires from the office of Curator. 16. (1) Life membership may be granted by a District to a Branch Life Member, honouring her for her contribution to the organization, provided she is an active member in good standing. (2) A Life Membership granted by a District must be proposed and approved by the District Board of Directors. (3) Application forms for District Life Membership shall be forwarded on request by the Secretary -Treasurer of the Federated Women's Institutes of Ontario. (4) Upon receipt of a properly completed application form and after approval under Subsection (2), the Secretary - Treasurer of the Federated Women's Institutes of Ontario will forward a Life Membership Certificate for the member. (5) The cost of the Bar shall be borne by the District. (6) The Branch shall be exempt from payment of District fees for a member upon whom a District Life Membership has been conferred. 17. (1) The Board of Directors shall recommend to the District Annual the amount of the fee which shall be levied against the Branches for the financing of the District. (2) The fees shall be paid by the Branch Secretary -Trea- surer to the District Secretary -Treasurer by February 1 each year. (3) District funds may be augmented by: (a) contributions from individuals or organizations; (b) grants from municipal councils; (c) money raised by other approved methods; or (d) grants made by the Government of the Province of Ontario. (4) To qualify for a grant, the District requires from each Branch an audited financial statement and Report of Meet- ings, and the Secretary -Treasurer shall compile the required Annual Statement and forward a copy to the Home Econom- ics Branch, Ontario Department of Agriculture and Food, as soon as possible after the close of the fiscal year of the Dis- trict. (5) The funds of the District shall be deposited in a char- tered bank or chartered trust company, under the name of 33 Life Membership Fees and Finances the said District, and shall be withdrawn only upon the sig- nature of both the President and Secretary -Treasurer. (6) District funds shall be used to extend and promote the work of the Women's Institute. (7) Each District shall: (a) pay the living expenses of the Federation Repre- sentative or Alternate attending the Area Conven- tion; and (b) pay the travelling and living expenses of the Dis- trict Delegate to the Area Convention. (8) At each District Annual, each District shall make regulations to provide for: (a) payment of expenses incurred by the President or her representative when visiting Branches; (b) payment of expenses incurred by the Conveners of Standing Committees; (c) an honorarium for the Secretary -Treasurer; (d) other expenditures as recommended by the Board of Directors; and (e) incidental expenditures up to $25.00 annually. Meetings 18. Meetings of the District Board of Directors shall be called by the Secretary -Treasurer under direction of the Pres- ident, for the efficient promotion of the business of the Dis- trict. Quorum 19. (1) One-third of the Branch Delegates entitled to vote at the District Annual shall form a quorum. (2) One-half of the members of the District Board of Di- rectors shall form a quorum for meetings. (3) No business shall be transacted unless a quorum is present. Provision 20. At the Annual Meeting, each District may adopt such for Local By -Laws as may be deemed necessary, provided they are in By -Laws no way inconsistent with the Constitution and By -Laws con- tained in the Handbook. Notice of 21. (1) Any member may present a Notice of Motion to Motion to adopt, amend or repeal local By -Laws. Adopt, Amend (2) One month's notice shall be given in writing reced- made or Repeal ing the District Annual at which motion is to be and Local every Branch shall be notified of the proposed motion in the By -Laws exact terms in which it is to come before the meeting. (3) A Notice of Motion does not require a seconder. (4) When the proposed motion comes before a District Annual, it shall be considered as a regular motion, but re- quires an affirmative vote of two-thirds of voting delegates 34 present for the adoption, amendment or repeal of the By - Law. (5) When amendment is made of any By -Law, a copy shall be sent to the Secretary -Treasurer of each Branch as soon as practicable after it comes into force. (6) The provisions, respecting "Notice of Motion", page 75 in the Handbook, shall be followed as nearly as may be practicable. 22. (1) When a District wishes to disband or reorganize, a Notice of Motion must have been presented, and the motion considered at the District Annual. (2) Copies of Notice of Motion shall be sent, at least one month in advance, to all Branch Secretary -Treasurers, Dis- trict President, District Secretary -Treasurer, Area President, Area Secretary -Treasurer and to the office of the Federated Women's Institutes of Ontario. (3) If approved, the Provincial Board Director shall present the request to the Annual Meeting of the Provincial Board. CONSTITUTION AND BY-LAWS AREA WOMEN'S INSTITUTES All Area Women's Institutes shall adopt the following Con- stitution (including page 6) and By -Laws. CONSTITUTION 1. The Provincial Board of the Federated Women's Insti- tutes of Ontario authorizes the formation of Area Women's Institutes. 2. This organization shall be known as the ...... . Area Women's Institutes of the Federated Women's Insti- tutes of Ontario, henceforth referred to as Area. 3. The purpose of this organization shall be: (a) to co-ordinate the work of the Branches and Dis- tricts within the Area; (b) to arrange for the Area Convention; and (c) to plan a programme that will stimulate effective and progressive work in the Branches and Districts within the Area. 4. Membership in the Area shall be composed of mem- bers in good standing of the Branches, including Junior Women's Institutes. 35 To Disband or Reorganize Name Purpose Membership Areas and 5. For the purpose of electing Directors of the Federated Subdivisions Women's Institutes of Ontario, the Province of Ontario shall be divided into Areas and Subdivisions that are listed in the order of their representation on the Provincial Board in the Constitution of the Federated Women's Institutes of Ontario. Executive 6. (1) The Executive Officers of the Area shall be the President, two or more Vice -Presidents, the immediate Past President, the Secretary -Treasurer and the Public Relations Officer. Right to (2) At meetings of the Executive of the Area, each Offi- Vote cer shall be entitled to vote on matters to be decided at the .meeting. Board of 7. (1) The Area shall be governed by a Board of Direc- Directors tors elected as the By -Laws prescribe, consisting of the Exec- utive Officers and the Provincial Board Directors within the Area. Right to (2) At meetings of the Board of Directors of the Area, Vote the Executive Officers and the Provincial Board Directors within the Area shall be entitled to vote on matters to be de- cided at the meeting. Annual 8. (1) The Annual Convention of each Area shall be Convention held in September, October or November. Right to (2) One elected voting delegate from each Branch, whose Vote annual Convention fee is paid, shall be entitled to vote at Area Convention. (3) The Federation Representative and District President from each District, whose annual Convention fee is paid, shall be entitled to vote at Area Convention. (4) One elected voting delegate from each Junior Women's Institute of the Area, in which the Junior Branch is situated, shall be entitled to vote at Area Convention. Elections 9. At the Annual Area Convention, the delegates shall: (a) elect a President, two or more Vice -Presidents, a Secretary -Treasurer, a Public Relations Officer, a Tweedsmuir History Curator and Conveners of Standing Committees; and (b) appoint or elect two Auditors, not officers of the Area. Election of 10. At the Annual Area Convention, the voting delegates Provincial of the respective Subdivisions shall elect one Board Director Board and one Alternate Board Director to the Provincial Board Director from each Subdivision mentioned in the Constitution of the Standing Federated Women's Institutes of Ontario. Committees 11. Standing Committees shall correspond with the Stand- 36 ing Committees functioning in the Branch, District and Prov- ince, as established by the Provincial Board of the Federated Women's Institutes of Ontario. 12. Committees shall be appointed as required to take charge of such administrative duties as membership, finance, public relations, entertainment, programmes and others. 13. The fiscal year shall be from September 1 to August 31. BY-LAWS 1. (1) The method of electing officers shall be chosen from the Section of the Handbook —"Elections", page 63, and the election shall be conducted by the Provincial President or a representative appointed by her. (2) Officers shall be elected at the Area Convention an- nually, and no person may be elected to the same office for more than six consecutive years. (3) Conveners shall be elected for a term of one year, and no person may be elected to the same Convenership for more than three consecutive years. (4) Any Convener of a Standing Committee who has served a three-year term on one committee may not be elected as a Standing Committee Convener of another com- mittee, until a period of one year has elapsed. 2. (1) Any vacancy of office, other than that of Presi- dent shall be filled by election at the next meeting of the Area Board of Directors. (2) In the event of the death or resignation of the President, the first Vice -President automatically becomes President. (3) Notwithstanding Subsection (1), for any office where an Alternate has been elected, the Alternate shall complete the year. 3. (1) At the Area Convention, all delegates from a Sub- division shall elect the Director and Alternate Director to the Provincial Board from that District in the sequence that the District is to be represented on the Provincial Board. (2) Each Federation Representative and Alternate elected from the District whose turn it is to be represented on the Provincial Board, is eligible for nomination if she has held either position at any time since that District was last represented on the Provincial Board. (3) The Secretary -Treasurer of the Provincial Board shall keep a list of the persons who have held the office of Feder- ation Representative or Alternate and the Districts in which the office was held, and notify the District Secretary-Trea- 37 Special Committees Fiscal Year Elections Term of Office for Officers Term of Office for Conveners Vacancies in Offices Procedure for Election of Provincial Board Director and Alternate surer prior to the District Annual of that District's turn to be represented on the Provincial Board. (4) The Secretary -Treasurer shall notify each person eli- gible for nomination of her eligibility before the date of the Area Convention, and shall also provide the list of names and information required to the Secretary -Treasurer of the Area and to the President of the Provincial Board. (5) From the list of names provided by the Secretary - Treasurer of the Provincial Board, the Director and the Al- ternate to the Provincial Board shall be elected by ballot, and each shall be a member of a Branch in the Subdivision at the time of election. (6) The term of office shall be three years for the Direc- tor and Alternate on the Provincial Board, but only if they are re-elected at the Area Convention for the second and the third year. (7) Where the Director of the Provincial Board is not re- elected at the Area Convention for a second and a third year, the representation from that District automatically passes to the next District in turn. (8) Each Director of the Provincial Board during her term of office is the Federation Representative for her Dis- trict and must be re-elected as Federation Representative at each District Annual for the next two years. (9) The Federation Representative or Alternate may not serve more than one year, except upon election as Director or Alternate on the Provincial Board during her term. (10) The Alternate Director to the Provincial Board elected at the Area Convention must be re-elected as the Al- ternate Federation Representative at each District Annual for the next two years. (11) Credential Forms, one for the Federation Represen- tative and one for the Alternate, supplied by the Provincial Board, shall be completed and certified by the District Secre- tary -Treasurer, and both forms shall be presented by the Federation Representative OR Alternate to the Provincial President or her representative at the Area Convention. (12) When a Federation Representative or Alternate is first elected at the Area Convention as either Director or Al- ternate Director on the Provincial Board, she need not be the current Federation Representative or Alternate in her own District, and is required to be re-elected as Federation Rep- resentative or Alternate in her own District at the District Annuals for the next two years, but if not so elected, the rep- resentation on the Provincial Board automatically passes to the next District in turn. (13) A Director of the Provincial Board may not serve for more than three years, and is not eligible to again become a Director of the Provincial Board even though she changes her place of abode and proposes to represent another Subdi- vision. (14) A Director, with the exception of Junior Directors of the Provincial Board, who has served a term on the Provin- cial Board, is not eligible for election as Federation Repre- sentative or Alternate again in her District. (15) An Alternate Director of the Provincial Board, who has substituted for four or more sessions on the Provincial Board, is not eligible for election as Federation Representa- tive or Alternate again in her District. 4. The President shall: Duties of (a) preside at all Board of Directors' Meetings, and President such sessions of the Area Convention as may be decided by the Area Board of Directors; (b) declare the motion lost in the event of a tie vote; (c) with the Secretary -Treasurer and the Board of Di- rectors, make out the agenda; (d) with the Secretary -Treasurer, sign the cheques for any withdrawal of funds; (e) be an ex-officio member of all committees, and only have a vote if named a member of the com- mittee; and (f) perform such other duties as are associated with this office. (N.B. See "Good Form for Presidents", page 78.) 5. The Vice -President shall: Duties of (a) assist the President in the work of the Area; and Vice- (b) in the absence of the President, officiate in that of- President fice. 6. The Secretary -Treasurer shall: Duties of (a) be the custodian of the minute books, records and Secretary assets of the Area; Treasurer (b) with the President and the Board of Directors, make out the agenda; (c) keep an accurate account of the minutes of all meetings; (d) bring to each meeting, the minute book, the Hand- book, and any other By -Laws; 38 1 39 (e) conduct the correspondence of the Area; (f) notify the office of the Federated Women's Insti- tutes of Ontario of any change of Area Officers; (g) with the President, sign cheques for any with- drawal of funds; (h) send one copy of the Area Convention programme to each Branch Secretary -Treasurer prior to the Convention; (i) present a financial report when required; (j) present a statistical report and audited financial statement at the Area Convention; (k) receive from the District Secretary -Treasurers within her Area, the Branch Convention fees by April 1; (1) send the audited statement to the Director, Home Economics Branch, Ontario Department of Agri- culture and Food by December 1, to qualify for the Area Grant; (m) perform such other duties as are associated with this office; and (n) upon retiring from office, hand on to her successor all monies, books, papers and other property of the Area in her possession, within thirty days following the Area Convention. (N.B. See "Good Form for Secretary -Treasurer", page 79.) Duties of 7. The Auditors shall: Auditors (a) audit and sign the books of the Secretary -Trea- surer and the Financial Statement; and (b) prepare and present a written report for the Area Convention, and move its adoption. (N.B. See "Good Form for Auditors", page 80.) Conveners of 8. (1) Each Area shall elect a Convener for each Stand - Standing ing Committee. Committees (2) The District Conveners of each Standing Committee will form the Area Committee to work with the Area Con- vener. Duties of 9. The Area Conveners of Standing Committees shall: Conveners of (a) give guidance and suggestions for study to the Dis- Standing trict Conveners; Committee (b) study the recommendations of the Provincial Con- vener; (c) receive District annual reports, and from these pre- pare a report, including any Area activities, for 40 presentation at the Area Convention, which shall include: (i) name of Standing Committee, (ii) name of Area, (iii) the number of Districts and Branches in the Area, (iv) the number of Districts and Branches report- ing, and (v) the name and address of the Convener; (d) attend the Area Convention; (e) send a copy of the report to the corresponding Pro- vincial Convener before October 1, regardless of the date of the Area Convention; (f) maintain a file of reports and information to be forwarded to her successor; (g) before retiring, complete all duties pertaining to her convenership, immediately after the Area Convention; and (h) upon retiring, include with her report the name and address of her successor. 10. The Area Convener of Resolutions shall: (a) forward a copy of the resolutions to be dealt with at the Area Convention, to the Provincial Presi- dent not later than September 1; (b) forward her report to the Provincial Convener of Resolutions by October 1; (c) return resolutions not sustained, with explanations; (d) forward the sustained resolutions and supporting materials to the Provincial Convener of Resolu- tions immediately after the Area Convention; and (e) before retiring, complete all duties pertaining to her convenership immediately after the Area Con- vention. 11. The Public Relations Officer shall: (a) be a member of the Executive; (b) arrange for the publicity of the activities and pro- mote the work of the Area; (c) receive the Annual Donations Form and Written Report from the District Public Relations Officers, compile from them three copies of the Annual Area Donations Form, adding any donations made by the Area, and present both reports at the Area Convention; (d) forward a copy of the Written Report and Dona- 41 Duties of Convener of Resolutions Public Relations Officer i tions Form to the Provincial Public Relations Offi- cer by October 1, give one to Area Secretary -Trea- surer and keep one for her own file; and (e) maintain a file of reports and information to be given to her successor. The Tweedsmuir History Curator shall: History Curator (a) be a Women's Institute member; (b) convene a committee to work with her in the duties of compiling the Tweedsmuir History; (c) supervise and edit all data received for the Tweedsmuir History; (d) have custody of the Tweedsmuir History; (e) have all expenses incurred in preparing the Tweedsmuir History paid by the Area; (f) prepare and present a report and exhibit the Area Tweedsmuir History at the Area Convention; (g) send a written progress report of the work in the Tweedsmuir History annually to the Provincial Curator by October 1; (h) be elected annually and may remain in office for not more than six years; and (i) return to the custody of the Area, the Tweedsmuir History with all data and relevant material when she retires from the office of Curator. Duties of 13. (1) The Federation Representative or Alternate, while Federation Representa- serving as a Board Director or Alternate, is the liaison be- tive tween the Provincial Board and the District. (2) Other Federation Representatives or their Alternates in the Subdivision shall act as liaison between the Provincial Board Director and their Districts. (3) The Federation Representative or Alternate shall at- tend all sessions of the Area Convention as a voting delegate from her District, and shall take back from the Convention to the District Secretary -Treasurer the full names and ad- dresses of the officers and conveners of the Area. Delegates 14. (1) Every Branch in the Area, whose annual Conven- tion fee is paid, shall send a voting delegate to the Conven- tion. (See Branch By -Law 17, page 14, Junior Constitution 12, page 20.) (2) Each District within the Area shall send two dele- gates, of whom one is the Federation Representative and the other the District President. (See District By -Law 7,page 30.) 42 15. (1) The Board of Directors shall have charge of the Area Board Convention arrangements for the ensuing year. of Directors (2) Advice may be sought concerning these arrangements from the Director, Home Economics Branch, Ontario De- partment of Agriculture and Food. (3) The Board of Directors may appoint subcommittees necessary to make adequate arrangements for the Conven- tion. 16. (1) The Board of Directors shall recommend from Fees and time to time the amount of the fees which shall be levied Finances against Branches for the financing of the Area. (2) The fees shall be paid by the Branch Secretary -Trea- surer to the District Secretary -Treasurer by February 1, and forwarded to the Area Secretary -Treasurer by April 1. (3) The President and Secretary -Treasurer are entitled to have their travelling and living expenses to meetings of the Board of Directors and Convention paid out of the Area funds. (4) The retiring Provincial Board Director is entitled to have her travelling and living expenses to the Area Conven- tion paid out of the Area funds. (5) The travelling and living expenses of all other mem- bers of the Board of Directors and Conveners may be paid at the discretion of the Area. (6) The funds of the Area shall be deposited in a char- tered bank or chartered trust company in the name of the Area and cheques for the withdrawal of any funds must bear the signature of both President and Secretary -Treasurer. (7) Expenditure of funds must be approved by the Board of Directors, or by a meeting of the Area. (8) Area funds may be augmented by: (a) contributions from individuals and organizations; (b) grants from municipal councils; (c) money raised by other approved methods; or (d) grants made by the Government of the Province of Ontario. (9) To qualify for a grant, an Area shall: (a) hold a Convention of two or more days' duration; (b) make application to the Director, Home Econom- ics Branch, Ontario Department of Agriculture and Food; and (c) submit an audited financial statement by Decem- ber 1 to the Director. 43 Quorum 17. (1) One-third of the Branch and District delegates en- titled to vote at an Area Convention shall form a quorum. (2) One-half of the members of the Area Board of Direc- tors shall form a quorum for meetings. (3) No business shall be transacted unless a quorum is present. Provision 18. At the Area Convention, each Area may adopt such for Local By -Laws as may be deemed necessary, provided they are in By -Laws no way inconsistent with the Constitution and By -Laws con- tained in the Handbook. Notice of 19. (1) Any member may present a Notice of Motion to Motion to adopt, amend or repeal local By -Laws. Adopt, (2) One month's notice shall be given in writing preced- Amend, or peal ing the Area Convention at which motion is to be made and Local every Branch and District shall be notified of the proposed By -Laws motion in the exact terms in which it is to come before the meeting. (3) A Notice of Motion does not require a seconder. (4) When the proposed motion comes before an Area Convention, it shall be considered as a regular motion, but requires an affirmative vote of two-thirds of the Delegates present for the adoption, amendment or repeal of the By - Law. (5) When amendment is made of any By -Law, a copy shall be sent to the Secretary -Treasurer of each Branch and District as soon as practicable after it comes into force. (6) Copies of the By -Laws for the Area, other than in ac- cordance with the By -Laws provided by the Handbook, shall be sent to the office of the Federated Women's Institutes of Ontario. (7) The provisions, respecting "Notice of Motion", page 75 in the Handbook, shall be followed as nearly as may be practicable. To Disband 20. (3) If approved, the Provincial Board Director shall present the request to the Annual Meeting of the Provincial Board. 44 CONSTITUTION AND BY-LAWS THE FEDERATED WOMEN"S INSTITUTES OF ONTARIO The Federated Women's Institutes of Ontario hereby adopts the following Constitution (including page 6) and By -Laws. CONSTITUTION 1. All Women's Institute Branches, Districts and Areas within the Province of Ontario constitute the Federated Women's Institutes of Ontario (F.W.I.O.). 2. This organization shall be known as the "Federated Women's Institutes of Ontario." 3. The purpose of this organization shall be: (a) to promote unity and co-ordinate the work and plans of the Women's Institutes; (b) to provide official representation in the Federated Women's Institutes of Canada and the Associated Country Women of the World; (c) to express the view of the Women's Institutes on matters of Provincial, National and International importance within the Constitution; and (d) to co-operate with the Ontario Department of Ag- riculture and Food to improve educational, social and economic conditions in the Province. 4. Membership in the Federated Women's Institutes of Ontario shall be composed of members in good standing of the Branch Women's Institutes, including the Junior Women's Institutes. 5. The badge of the Provincial Board Director shall: (a) be the official badge of the Women's Institutes of Ontario, with a gold bar bearing the year of elec- tion attached by two chains of three links each; and (b) be purchased from Federated Women's Institutes of Ontario funds and presented to the newly elected Board Director. 6. (1) One Director and one Alternate Director shall be elected to the Provincial Board from each Subdivision men- tioned in Section 10 by the voting delegates of the respective Subdivisions. (2) The Election of the Director and Alternate Director shall take place at the Area Convention. (3) In addition to the Directors and Alternate Directors of the Provincial Board, there shall be two Junior Directors who shall be members of the Junior Women's Institutes of On- tario and shall be elected by the voting delegates at the Ju- nior Women's Institute Annual Convention. 13. (1) The Provincial Board shall consist of: (a) the President; (b) the Directors elected under Section 12; (c) the Junior Directors elected under Section 12; (d) the Immediate Past President; (e) the Secretary -Treasurer; (f) the Public Relations Officer; and (g) the Director, Home Economics Branch, Ontario Department of Agriculture and Food. (2) At meetings of the Provincial Board, the President, the immediate Past President, the Secretary -Treasurer, the Public Relations Officer and the Director, Home Economics Branch, Ontario Department of Agriculture and Food, shall not be entitled to vote. (3) The Honorary President of the Provincial Board shall be the Director, Home Economics Branch, Ontario Depart- ment of Agriculture and Food. 14. (1) The Provincial Board shall: (a) hold an Annual Meeting every November at such place within Ontario as the Provincial Board may from time to time determine, but where the Pro- vincial Board deems it necessary, the meeting may be postponed, but not later than January 20 of the next year; and (b) hold a Semi -Annual Meeting in April or May of every year. (2) For the purposes of the Agricultural Associations Act, the Annual Meeting referred to in Clause (a) of Subsection (1) shall be the Annual Meeting of the Federated Women's Institutes of Ontario and the members of the Provincial Board attending the Annual Meeting shall be deemed to be the delegates of the members of the Association in Ontario. 49 Election of Board Directors Provincial Board Meetings (3) The delegates at the Annual Meeting referred to in Subsection (2) shall ratify and confirm their election as mem- bers of the Provincial Board. Elections 15. At the Annual Meeting of the Provincial Board, the Directors, in accordance with the By -Laws, shall elect a Pres- ident, Vice -Presidents, Public Relations Officer, Tweedsmuir History Curator and Conveners of Standing Committees; and shall appoint a Secretary -Treasurer and Officers' Confer- Auditors ence Secretary -Treasurer and other Committees as required. 16. Auditors shall be Chartered Accountants approved by the Board of Directors at a Board Meeting. Executive 17. (1) The Executive Officers of the Provincial Board shall be: the President, the Vice -Presidents, the immediate Past President, the Secretary -Treasurer, the Public Relations Officer and the Director, Home Economics Branch, Ontario Department of Agriculture and Food. Right to Vote (2) At meetings of the Executive Officers of the Provincial Board, each officer, except the Secretary -Treasurer, the Pub- lic Relations Officer and the Director, Home Economics Branch, Ontario Department of Agriculture and Food, shall be entitled to vote. Fiscal Year 18. The fiscal year of the Federated Women's Institutes of Ontario shall be from October 1 to September 30. (5) The Secretary -Treasurer of the Provincial Board shall notify each person eligible for nomination of her eligibility before the date of the Area Convention and shall also pro- vide the list of names and information required to the Secre- tary -Treasurer of the Area and to the President of the Pro- vincial Board. (6) From the list of names provided by the Secretary - Treasurer of the Provincial Board, the Director and Alternate to the Provincial Board, each of whom shall be a member of a Branch in the Subdivision at the time of election, shall be elected by ballot. (7) The term of office shall be three years for the Direc- tor and Alternate on the Provincial Board, but only if they are re-elected at the Area Convention for the second and third year. (8) Where the Director of the Provincial Board is not re- elected at the Area Convention for a second or a third year, the representation from that District automatically passes to the next District in turn. (9) Each Director of the Provincial Board during her term of office is the Federation Representative for her District and is required to be re-elected as Federation Representative at each District Annual for the next two years, and with her Al- ternate, may not serve more than one year, except upon elec- tion as Director or Alternate on the Provincial Board during her term. (10) The Alternate Director to the Provincial Board, elected at the Area Convention, is required to be re-elected as the Alternate Federation Representative at each District Annual for the next two years. (11) When a Federation Representative or Alternate is first elected at the Area Convention as either Director or Al- ternate Director of the Provincial Board, she need not be the current Federation Representative or Alternate in her own District, but must be subsequently elected as Federation Representative or Alternate in her own District at the District Annuals for the next two years, and if not so elected, the rep- resentation on the Provincial Board automatically passes to the next District in turn. (12).A Director of the Provincial Board may not serve for more than three years, and is not eligible to again become a Director of the Provincial Board even though she changes 51 her place of abode and proposes to represent another Subdi- vision. (13) A Director, with the exception of Junior Directors of the Provincial Board, who has served a term on the Provin- cial Board, is not eligible for election as Federation Repre- sentative or Alternate again in her District. (14) An Alternate Director, who has substituted for four or more sessions on the Provincial Board, is not eligible for election as Federation Representative or Alternate again in her District. (15) Notwithstanding anything in this Section, a Director, who has otherwise completed her term of office under the provisions of this Section, is deemed to remain a member of the Provincial Board but only for the purpose of electing a President under By -Law 2, Subsection (1) and only where her term of office was completed in the three-year period im- mediately prior to the election. Junior Women's Institute (16) A Junior Women's Institute Director shall be elected to the Provincial Board b the voting delegates at their An - Y Board Director nual Convention for a term of two years, one of which will be served as Junior Director and the other as Senior Direc- tor. (17) No Junior Director of the Provincial Board shall be eligible after the two-year term for re-election as a Junior Women's Institute Board Director, but may be elected a; a Women's Institute Board Director if and when she has the required qualifications. Election of President 2. (1) The President of the Provincial Board shall be elected by all Directors, who are members of the Provincial Board at the time of the election, including those referred to in By -Law 1, Subsection (15). (2) A candidate for election as President must have been a voting member of the Provincial Board for at least four ses- sions and must have completed her term on the Provincial Board some time in the three-year period immediately prior to the election. (3) At the Annual Meeting, at which the President of the Provincial Board is elected for the third year in office, a Nominations Committee for her successor shall be ap- .pointed. (4) Immediately after the Annual Meeting of the Provin- cial Board, the list of names of eligible nominees shall be mailed to all current Directors of the Provincial Board, and to all past Directors of the Provincial Board who have com- 52 pleted their terms of office during the previous two years. (see By -Law 1 (15), page 52.) (5) Written nominations must be submitted not later than July 1, to the office of the Federated Women's Institutes of Ontario. (6) A person making a nomination shall receive permis- sion from the nominee to allow her name to stand. (7) The Nominations Committee shall contact each nomi- nee, ask for consent to let her name stand for election and .. request a brief summary of the nominee's participation in Women's Institute work and other community activities, to be returned by September 1. (8) Before the Annual Meeting, the Nominations Com- mittee shall send to each past Director qualified to vote, in- formation about the nominee and a blank ballot and enve- lope, to be returned by November 1. (9) At the Annual Meeting, the current Board Directors shall cast their ballots and the mailed ballots shall be opened, and the complete vote tabulated and announcement made. (10) For the election of the President for her second and third year in office, only the current Board Directors shall be qualified to vote. (11) A President shall not serve more than three years. (12) If at any time the President is unable to complete her term, a new President shall be elected within three months by the current Board Directors from the list of persons eli- gible to become President, to complete the current term. (13) The Past President of the Provincial Board shall act as interim President until arrangements can be made for the election of the new President. 3. Three Vice -Presidents shall be elected by the Board Directors from among their number, one from each grouping of Subdivisions in Section 10 of the Constitution, with the President representing the fourth grouping. 4. (1) A Secretary -Treasurer shall be appointed by the Directors of the Provincial Board from among the active members of the Federated Women's Institutes of Ontario. (2) The Secretary -Treasurer may not hold office for more than five consecutive years. (3) When the selection of a Secretary -Treasurer becomes necessary, applications for the position shall be sent to the office of the Federated Women's Institutes of Ontario. (4) A committee composed of the President, immediate 53 Vice - Presidents Appointment of Secretary - Treasurer Past President, Secretary -Treasurer and Director, Home Eco- nomics Branch, Ontario Department of Agriculture and Food, shall consider the applications and shall present to the Provincial Board, the names and qualifications of applicants and the recommendation of the committee. Standing Committees 5. (1) The Provincial Board shall establish the following Provincial Standing Committees, and Conveners and elect Conveners hereof t: 1. Agriculture and Canadian Industries. 2. Citizenship and World Affairs. 3. Education and Cultural Activities. 4. Family and Consumer Affairs. 5. Resolutions. (2) The Conveners shall be elected from outstanding Dis- trict or Area members of the Federated Women's Institutes of Ontario. (3) A Convener shall be elected for a term of one year and no person may be elected to the same convenership for more than three consecutive years. Finance Committee 6. (1) The Finance Committee shall consist of the Presi- dent, the immediate Past President, the Secretary -Treasurer, three Directors of the Provincial Board elected to the com- mittee, and the Director, Home Economics Branch, Ontario Department of Agriculture and Food. (2) The President, Past President, Secretary -Treasurer and three Board Directors are eligible to vote on the committee. (3) At least ten days' notice shall be given in writing of a meeting of the Finance Committee. (4) It shall be the duty of the committee to prepare a budget for presentation to the Provincial Board. Finances 7. (1) The Provincial Board shall have the power to de- termine and pay an honorarium to the Provincial President, the Provincial Secretary -Treasurer and the Provincial Public Relations Officer. (2) Honoraria may be paid to others at the discretion of the Provincial Board. (3) The travelling and living expenses of the Directors, Officers and Conveners shall be paid when they attend meet- ings of the Board of Directors, the Executive or Finance Committee, or when they attend in an official capacity meet- ings of special committees. (4) Any other necessary expenses may be paid at the di- rection_ of the Board. -Provincial (5) The travelling and living expenses of the Provincial 54 Board Directors attending District Annuals in their own Sub- division, or attendance at meetings as requested by the Pro- vincial President, shall be paid by the Federated Women's Institutes of Ontario. (6) Each Federation Representative for the current year shall have her travelling expenses to the Area Convention paid by the Provincial Board. (7) Each Federation Representative must attend all ses- sions, and be present at the time of the election of the Pro- vincial Board Directors in order to have her account for trav- elling expenses honoured. (8) The Alternate Federation Representative shall receive her travelling expenses only when the Federation Represen- tative is unable to fulfil her duties. (9) The F.W.I.O. fee of 50 cents per member, the F.W.I.C. fee of 25 cents per member and the A.C.W.W. fee of 2 cents per member shall be forwarded annually from the Branch Secretary -Treasurer to the District Secretary -Trea- surer before February 1, and forwarded by the District Sec- retary -Treasurer to the Provincial Secretary -Treasurer before April 1. (10) The Provincial Secretary -Treasurer shall forward the Annual F.W.I.C. and A.C.W.W. fees before September 1. (11) The Provincial Board shall have the power to set the F.W.I.O. fee required from the Branch to balance the Pro- vincial Budget. 8. For unusual expenditures requiring urgent attention, and for the good of the organization, the President and Sec- retary -Treasurer are authorized to make expenditures up to $100.00 in any one month: 9. (1) The President shall have the power, when she deems it necessary, to call an Executive Meeting. (2) At least ten days' notice shall be given in writing of a meeting of the Executive. 10. The Provincial President shall: (a) preside at all meetings of the Provincial Board, (b) declare the motion lost in the event of a tie vote; (c) attend each Area Convention, where she shall give a report of the activities of the Federated Women's Institutes of Ontario and its Provincial Board, and where she shall preside at the election of officers; (d) be a member of all committees, with voting power; 55 Unusual Expenditures Provincial Executive Provincial President (e) attend to correspondence and be responsible for the work of the Provincial office; (f) be a voting delegate to the Federated Women's In- stitutes of Canada and the Associated Country Women of the World; and (g) receive an honorarium to be decided by the Pro- vincial Board. Provincial 11. The Past Provincial President shall: Past President (a) be elected Provincial Convener of Resolutions; and (b) if an emergency arises and the President is unable to continue in office, take over her duties until the Provincial Board meets and makes other arrange- incial ments. (See By -Law 2 (12), page 53.) Vice- 12. The Vice -Presidents shall represent the President Presidents whenever necessary. Provincial 13. The Provincial Secretary -Treasurer shall: Secretary - (a) send notices in writing at least ten days in advance Treasurer for all meetings; (b) attend all meetings of the Provincial Board and record the minutes; (c) supply copies of these minutes to all persons en- titled to receive them; (d) attend to correspondence relating to the Provincial Board as required or on the Direction of the Pro- vincial President; (e) prepare, from the records on file of Federation Representatives and Alternates, a list of those eli- gible for nomination to the Provincial Board as Director and Alternate for each Subdivision; (f) notify each District before the District Annual when it is that District's turn to be represented on the Provincial Board, and verify the list with the District Secretary -Treasurer; (g) remind all members of their eligibility and ask if they plan to seek nomination for Board Director or Alternate; (h) send copies of the lists to the Area Secretary -Trea- surers and the Provincial President before the Area Conventions; (i) be a member of the Executive and Finance Com- mittee, and attend to other duties as requested by the Provincial Board; (j) keep an accurate record of all financial transactions 56 relating to the Federated Women's Institutes of Ontario and the Provincial Board; (k) pay accounts and, with the President, sign all cheques for the withdrawal of any funds; (1) give a bond, subject to the approval of the Provin- cial Board, for the faithful performance of her duties and make such reports as may from time to time be requested by the President or any three members of the Executive; ^' (m) present an audited financial statement to the An- nual Meeting; (n) receive an honorarium to be decided by the Pro- vincial Board; and (o) within sixty days after the election of her suc- cessor, transfer to such successor all monies, vou- chers, books and property of the Federated Women's Institutes of Ontario in her possession. 14. A Public Relations Officer shall: (a) be elected annually by the Provincial Board from among the active members of the Federated Women's Institutes of Ontario, and may remain in office for not more than six years; (b) be a member of the Provincial Board without the power to vote; (c) arrange for publicity of the activities and promote the work of the Federated Women's Institutes of Ontario at Provincial level; (d) receive the Annual Donations and Written Re- ports from the Area Public Relations Officers and compile the Donations and Written Reports for the Province, adding any donations made by the Provincial Board; (e) present these reports and outline at the Annual Meeting of the Provincial Board; (f) maintain a file of reports and information to be given to her successor; (g) forward one copy of Reports to the office of the Federated Women's Institutes of Canada, immedi- ately after the Annual Meeting; and (h) receive an honorarium to be decided by the Pro- vincial Board. 15. A Tweedsmuir History Curator shall: (a) be elected annually by the Provincial Board from among the active members of the Federated 57 Provincial Public Relations Officer Provincial Tweedsmuir History Curator Provincial Board Directors and Alternates Women's Institutes of Ontario, and may remain in office for not more than six years; (b) convene a committee to work with her in the duties of compiling the Tweedsmuir History; (c) supervise and edit all data received for the Tweedsmuir History; (d) have custody of the Tweedsmuir History; (e) have all expenses incurred in preparing the Tweedsmuir History paid by the Federated Women's Institutes of Ontario; (f) prepare and present a report and exhibit the Pro- vincial Tweedsmuir History at the Annual Meet- ing of the Provincial Board; (g) send her written report and recommendations to the Area Tweedsmuir History Curators; (h) maintain a file of reports and information to be forwarded to her successor; and (i) return to the custody of the Provincial Board, the Tweedsmuir History with all data and relevant material when she retires from office. 16. A Provincial Board Director or her Alternate shall: (a) attend all sessions of the meetings held by the Pro- vincial Board, with travelling and living expenses paid by the Federated Women's Institutes of On- tario; (b) attend the District Annuals in her Subdivision and present a survey of Women's Institute activities and the deliberations of the Provincial Board; (c) preside at the elections at District Annuals, except in her own District; (d) send a report of the District Annuals in her Subdi- vision to the Provincial Secretary -Treasurer; (e) serve on the Board of Directors for the District with or without a vote; (f) have travelling and living expenses paid by the Federated Women's Institutes of Ontario, when attending District Annuals in her own Subdivision, or meetings as requested by the Provincial Presi- dent; (g) serve as a member of the Board of Directors of the Area of which her Subdivision is a part; and (h) attend all sessions of the Area Convention, and have travel expense to Area Convention paid by the Federated Women's Institutes of Ontario. 58 17.- (1) The Provincial Board shall elect a Convener for Provincial each Standing Committee. Conveners (2) The Provincial Conveners of Standing Committees of Standing Committees shall: (a) study the recormendations of and co-operate with the Conveners of the Federated Women's Insti- tutes of Canada; (b) prepare an outline giving guidance and sugges- tions for programmes and projects to Area Con- veners; (c) receive Area annual reports not later than October 1, and from these reports prepare a report, includ- ing any Provincial Activities, for presentation at the Annual Meeting of the Provincial Board, which shall include: (i) the name of the Standing Committee, (ii) the number of Areas in the Province, (iii) the number of Areas, Districts and Branches reporting, and (iv) the name and address of the Convener; (d) attend the Annual Meeting and any other meet- ings as required by the Provincial Board; (e) send a copy of her report, outline and name and address of her successor to all corresponding Area Conveners, and to the corresponding Convener of the Federated Women's Institutes of Canada; (f) maintain a file of reports and information to be forwarded to her successor; and (g) receive travelling and living expenses to the An- nual Meeting of the Federated Women's Institutes of Ontario, and to any other meetings as directed by the Provincial President. 18. (1) The Provincial Board has the power to confer a Provincial Provincial Life Membership on an active member of the Life F.W.I.O. who has given outstanding service in the Women's Membership Institutes at all levels. (2) A Life Membership must be proposed and approved by the Provincial Board of Directors. 19. (1) Seventeen voting and two non -voting members Quorum shall form a quorum at meetings of the Provincial Board. (2) Three voting and one non -voting member shall form a quorum at a meeting of the Executive or Finance Com- mittee. 20. (1) The Provincial Board shall consider resolutions Resolutions 59 submitted by Area Meetings, and if sustained, shall present same to the proper authorities. (2) The Provincial Board may also consider resolutions of an emergency nature sent to them by District or Area Women's Institutes; or presented by a Board Director at a Board Meeting. (3) Resolutions considered and sustained by the Branch, considered and sustained at the District Annual, shall be for- warded to the Area Convention to be considered and, if sus- tained, shall then be sent to the Provincial Convener of Res- olutions, but in a case of urgency the President and Provincial Resolutions Committee may authorize the treat- ment of a resolution as an emergency resolution. Provision for 21. (1) The Handbook shall be reviewed by a Constitu- to Con- stitution and tion Committee at three-year intervals. ws (2) The Constitution Committee shall be appointed at the contained Annual meeting of the Provincial Board immediately preced- in the ing the year in which the Committee shall meet. Handbook (3) The President, Past President, Secretary -Treasurer and the Director, Home Economics Branch, Ontario Department of Agriculture and Food, shall be members of the Com- mittee, and they shall appoint five additional members, two of whom shall be members of the current Provincial Board. (4) The President shall be Chairman of the Committee. (5) The Committee shall review the Handbook, receive submissions and present the report and recommendations to the Provincial Board at the next regular Board Meeting. (6) Any Member in good standing, a Branch, a District or an Area may make submissions to the Committee. (7) Submissions shall be sent to the office of the Feder- ated Women's Institutes of Ontario. (8) The Provincial Board Directors shall vote upon the proposed amendments at the following Meeting of the Pro- vincial Board. (9) A two-thirds affirmative vote of the Provincial Board Directors is required for the passing of the amendments. 22. Any member of the Provincial Board may present a Notice of Motion for amendment of the Constitution or By - Laws at a regular meeting of the Provincial Board to be voted upon at the next regular meeting, and a two-thirds af- firmative vote of the members of the Provincial Board is re- quired for the passing of the .amendment. 23. Any change, alteration or repeal of the Constitution or By -Laws shall be submitted to and approved by the Min- 60 ister of Agriculture and Food before the same shall have force or effect. 24. When any amendment is made, a copy shall be sent to the Secretary -Treasurer of each Branch as soon as prac- ticable after it comes into force. 25. When a complete revision of the Handbook is neces- sary, the President, Past President and the Director of the Home Economics Branch, Ontario Department of Agricul- ture and Food, shall appoint a Constitution Committee in accordance with By -Law 21, Subsections (3) and (4). The Committee shall proceed to review the Handbook, receive submissions in accordance with By -Law 21, Subsections (6) and (7) and present a report to the Provincial Board. 26. The report, referred to in By -Law 25, shall be voted on at the next meeting of the Provincial Board and a two- thirds affirmative vote of the Provincial Board Directors is required. 27. The accepted recommendations shall be submitted for approval to the Minister of Agriculture and Food. 28. Subject to the Minister's approval, the revised Hand- book shall come into effect when printed and distributed to the membership. 29. The Constitution Committee shall be dismissed by the Provincial Board when either the amendments or the Hand- book have been printed and circulated. WOMEN'S INSTITUTE OFFICERS' CONFERENCE 1. The Officers' Conference shall be training sessions for Officers and Members -at -Large of Branch, District and Area Women's Institutes, who shall return to their respective Branch, District or Area and disseminate the knowledge gained. 2. Each year at the Annual Meeting of the Federated Women's Institutes of Ontario, it is the responsibility of the Board Directors to decide if an Officer's Conference shall be sponsored for Ontario Women's Institute Members. 3. At the Annual Meeting, the Board Directors shall ap- point an Officers' Conference Committee whose duty shall be to plan, make recommendations to the Board, and carry out the necessary work in committee, and by committee. AI 4. Recommendations of last year's Committee shall be considered and voted upon at the Annual Meeting. 5. A Secretary -Treasurer of Officers' Conference shall be appointed each year at the Annual Meeting from among ac- tive members of the Federated Women's Institutes of On- tario, may hold office for not more than six years, and may receive an honorarium to be decided by the Provincial Board. 6. The Officers' Conference Secretary -Treasurer shall be responsible for presentation of an audited financial statement at the Annual Meeting of the Federated Women's Institutes of Ontario. WOMEN'S INSTITUTE RALLY 1. Where there are two or more District Women's Insti- tutes functioning within a County or in Northern Ontario within a District, a Women's Institute Rally may be orga- nized. 2. If organization of a Rally is desired, notification shall be sent to the office of the Federated Women's Institutes of On- tario. 3. A Women's Institute Rally shall be conducted in accor- dance with the following provisions: Purpose (1) The Purpose of a Women's Institute Rally is: (a) to correlate activity common to all Branches; and (b) to promote a closer acquaintance among mem- bers. Officers (2) A Chairman shall be elected, representing one Dis- and trict. Directors (3) One Vice -Chairman shall be elected from each of the remaining Districts. (4) A rotation system shall be observed in order that each District may provide a Chairman for the Rally in its turn. (5) A Secretary -Treasurer shall be elected, and Directors may be elected if desired. (6) No person may serve more than six consecutive years in any one office. (7) The Executive shall be the Chairman, Past Chairman, Vice -Chairmen, Secretary -Treasurer and Directors, if such are elected. (8) The Chairman shall have acquired at least two years' experience in District Women's Institute work, prior to her election as Women's Institute Rally Chairman. 62 4. (1) All members of the Branches shall be urged to at- Delegates tend and participate. (2) Each Branch and District within the Rally shall desig- nate not more than two members to vote should matters of business arise. 5. A Women's Institute Rally may be held in District Rota- Place tion. 6. (1) Each Branch or District shall pay an annual fee to Finances the Rally Secretary -Treasurer to defray expenses incurred in the pursuance of the Women's Institute Rally work. (2) Funds referred to in Subsection (1) shall be used so- lely for the expenses of the annual Rally and such projects as are approved at the Rally, and may include additional funds obtained by individual contribution and Municipal Grants. (3) Travel expenses of officers attending Executive Meet- ings may be paid from Rally funds. 7. Each Women's Institute Rally may adopt such By- Provision Laws as may be deemed necessary provided they are in no for Local By -Laws way inconsistent with the Constitution and By -Laws con - tained in the Handbook, and such By -Laws may be amended by a two-thirds affirmative vote of the voting delegates present, provided a one month's Notice of Motion is given. (See "Notice of Motion", page 75.) ELECTIONS 1. (1) Prior to the annual elections at Branch, District or Area levels, a nominating or nominations committee shall be appointed. (2) Where there is a Nominating Committee, it shall pre- Nominating pare and present for election one name for each office, and is Committee required -to have the consent of the nominee. (3) Where there is a Nominations Committee, it shall Nominations request and receive names from the membership and all Committee names received for all offices shall be presented by the Com- mittee for election, but where no name is submitted for an office, the Committee shall propose a name for the vacancy. (4) Any person wishing to make a nomination is required to have the consent of the nominee. 2. The Election Chairman shall, where practicable, be a Chairman Women's Institute member who is familiar with procedure for the conduct of elections. 3. The Election Chairman shall: Procedure (a) place the voting delegates together if this has not for Conduct of Elections 63 (b) (c) (d (e) M (g) been done; ratify the delegates in the case of a District or Area election, by having the Secretary - Treasurer call the name of each Women's Institute and District, with the number of voting delegates permitted; (The delegates stand when called.) declare all offices vacant; call for motion for a Secretary for the election; (This is usually the former Secretary -Treasurer.) have the meeting decide by a motion: (i) method of voting —ballot, show of hands or standing; (It is recommended that voting be by ballot at all levels. At Area Conventions, the Provincial Board Directors must be elected by ballot.) and (ii) plurality or majority vote; (Plurality means the greatest number of votes. Majority means more than half the vote.) appoint scrutineers; explain: (i) that each Branch, District or Area may have By -Laws governing the length of service in any office or convenership, but no one may hold the same office for more than six con- secutive years and Conveners of Standing Committees may not serve more than three consecutive years in any one convenership; (ii) that nominations can be made only if the per- son named is present or has consented to have her name appear on the slate; (iii) that all nominations shall include the full names and addresses of the person nominated; (iv) that the District Director is responsible for taking the list of District officers and con- veners, with full names and addresses, from the District Annual back to the Branch; (The Branch Secretary -Treasurer keeps this list available for future reference.) and (v) that the Federation Representative is respon- sible for taking the list of Area officers and conveners, with full names and addresses, to the District Secretary -Treasurer; (The District Secretary -Treasurer keeps this list available for future reference.) ask for report of the Nominating or Nominations 64 Committee; (It is recommended that this list be posted so that all members may examine the re- port before the election takes place.) (h) ask for a motion accepting the work of the Nomi- nating or Nominations Committee, have this sec- onded and voted on, then proceed with the elec- tion; (i) call for nominations from the floor for each office separately, after she has named the nominee on the slate for each office; (e.g. "The Nominating Committee has named Mrs. John Doe for Presi- dent. Are there any nominations from the floor for President?" Where a Nominations Committee is used, all nominations must be presented. "The fol- lowing names have been submitted to the Nomi- nations Committee for President: Mrs. John Black, Mrs. Robert Green, Mrs. George White. Are there any further nominations from the floor?" Nominations do not require to be sec- onded. When the election for the Federation Representative is under consideration, her qualifications should be clarified. (See District By -Law 8, page 30.) 0) declare nominations closed; (k) when only one candidate has been nominated for an office, declare the single nominee elected by ac- clamation; (1) when more than one candidate has been nomi- nated for an office, ask for vote by the method de- cided upon; (m) ask the scrutineers for the count; (n) call for a second vote, in the event of a tie; (o) announce the result; (p) check with the Secretary to see that no officers or conveners have been omitted; (q) ask the Secretary to read the full list of elected of- ficers and conveners; (r) ask for immediate disposal of ballots; (s) conduct the installation of officers, if requested; and (t) ask the President who has been in office the pre- ceding year to complete the meeting. 4. The Scrutineers shall: (a) when voting is by a show of hands or standing, 65 Scrutineers count the affirmative and negative votes; (b) when voting is by ballot, distribute the ballots, keeping count of the number distributed; (c) collect the ballots, check with the number distrib- uted; (d) hand the results of the count to the Chairman; and (e) destroy ballots as instructed by Chairman. Installation 5. The following Installation Ceremony to be conducted Ceremony by the Election Chairman may be used: The Chairman asks the newly elected Officers and Con- veners to come forward as their names are read by the Secre- tary. Chairman: "As we stand at the threshold of a new year of work in the ..... Women's Institute, it is fitting at this time that we should review the objectives of our organiza- tion. As newly elected Officers and Conveners, you should study the duties pertaining to your respective offices, so that the plans made and the programmes prepared may more perfectly achieve the fulfilment of their purposes. Please ac- cept the privileges, responsibilities and duties conferred upon you by the office to which you have been elected." (To the membership) "You have chosen your officers and conveners for the new year and they have accepted the re- sponsibilities placed upon them. They have their part; equally you have yours. They are dependent upon your sup- port, your encouragement and your co-operation. By work- ing together your organization will have a most satisfying year." COMMITTEES Types Committees 1. There are three types of Committees: 1. Standing Committees. 2. Special Committees. 3. Committee of the Whole. Standing 2. (1) Standing Committees are established by the Fed - Committees erated Women's Institutes of Ontario and function through- out the year. Review resolutions previously presented SPECIAL COMMITTEES 3. (1) Special Committees may be elected by the mem- bership or appointed by the President. (2) The authority and responsibility of the committee should be stated. (3) The work of the committee must be approved by a meeting of the Women's Institute. (4) The .committee has no power to add to its numbers unless otherwise stated. 67 Citizenship and World Affairs Education and Cultural Activities Family and Consumer Affairs Resolutions Special committees (5) If a Chairman is not named when the Special Com- mittee is set up, the first person named on the committee shall make arrangements for calling the first meeting, and at the first meeting a Chairman and a Secretary shall be chosen from the members of the committee. (6) The President, by virtue of office, is an ex-officio member of all committees and if the President is elected or appointed to a committee she then has a vote. COMMITTEE OF THE WHOLE Committee 4. (1) A member may make a motion that the members of the present become a Committee of the Whole and if approved, Whole the President appoints a Chairman to take her place, leaves the chair, and may then take part in the discussion. (2) Each member may speak as frequently as she wishes. (3) A report shall be prepared and the meeting again, con- venes. (4) The President returns to the chair, and the appointed Chairman gives the report. REPORTS OF COMMITTEES Reports of 5. (1) Reports are made at a meeting of the Women's In - Committees stitute by the Chairman or another member of the com- mittee. (2) A copy shall be given to the Secretary -Treasurer. (3) In reporting to a meeting, the Chairman may report thus: "Madam President, the committee on ... . .. sub- mits the following report." 6. (1) There are three types of reports submitted by committees 1. Summary of work done. 2. Recommendations. 3. Work done and recommendations. (2) If a report contains recommendations, the Chairman shall move its adoption after reading the report and another member of the committee shall second the motion. (3) If the report embodies only a record of work done without any recommendations, its acceptance should be moved and seconded by members who are not on the com- mittee. (4) When a report contains a series of recommendations, each is dealt with separately. (5) When the final report is made and dealt with, the committee is dismissed by the President. 68 The following material does not form part of the Constitu- tion and By -Laws of the Federated Women's Institutes of On- tario, but is included for the guidance of the Members. RESOLUTIONS 1. A resolution is one way of expressing the opinions of Resolutions the organization, and should be used for the benefit of the majority. The members of the Institute should be alert to public concern and feel free to express their joint opinion in order that their influence may be useful in promoting worthy causes. The resolution must not be used to deal with partisan or sectarian controversial issues. 2. A resolution may be one of two types —local or Provin- cial. In either type, the procedure at the Branch level is as follows: (a) Research —The Resolutions Convener, with her committee, shall investigate the extent of the prob- lem being considered, existing laws on the matter, the facts concerning their enforcement, and other pertinent information. When the Women's Insti- tute Branch considers the matter sufficiently im- portant, a resolution is formulated by the Con- vener and her Committee. (b) Drafting —A resolution consists of two parts: Example (1) The preamble, or introduction, explains the Resolution conditions that give rise to the resolution, and is a statement of facts. (2) The body of the resolution states the action that is being requested, and consists of only one sentence, except when there is more than one request relating to the subject. A resolution is written or typed on paper approximately eight inches by ten inches in size. For example: WHEREAS under present laws, if a doctor or a registered nurse voluntarily renders first aid at the scene of an accident; and if the injured person dies, said doctor or nurse can be sued; THEREFORE BE IT RESOLVED that the Federated Women's Institutes of Ontario request the Ontario Govern- ment to enact legislation to the effect that the doctor or nurse rendering first aid at the scene of an accident shall not be held responsible if such person dies. Seconded by ........................... 69 (c) Approval —The resolution is moved, seconded, dis- cussed and voted on by the Branch Members. (d) Presentation— (1) A Resolution on a matter of local importance may be presented by a Branch Institute, or a group of Institutes. The Convener and her committee prepares the resolution, bearing the signatures of the mover and seconder. A copy, with all contributory material, must be for- warded to the proper authority. (2) A resolution of Provincial, National or Inter- national importance must be directed through the District and Area to the Federated Women's Institutes of Ontario. The Convener and her committee prepares the resolution, bearing the signatures of mover and seconder. A copy, with the names of mover and sec- onder, the signatures of the President and Sec- retary -Treasurer of the Branch, name of Branch, date sustained, and all contributory material, must be forwarded to the District Convener of Resolutions, not later than March 1. The original resolution, bearing the signa- ture of mover and seconder, is retained by the Branch Convener. (e) Support —At least one member of the Branch Women's Institute shall be prepared to present the views of the Branch on the resolution at the Dis- trict Annual and Area Convention. Emergency 3. (a) A matter of unusual necessity or urgency, which is Resolution of Provincial, National or International impor- tance, may be introduced as an Emergency Reso- lution. (b) It may be presented: (1) (a) to a District Annual Meeting by a Branch. (b) The voting delegates must first establish by vote whether or not it is an emergency resolu- tion. If considered an emergency, the resolu- tion is moved, seconded, discussed and voted on. If sustained, the District Convener of Res- olutions shall forward the resolution at once to the Provincial President. (c) The President of the Federated Women's Insti- tutes of Ontario and the Provincial Resolu- tions Committee must then establish in their 70 opinion whether or not it is an emergency res- olution. If considered an emergency, the Pro- vincial President will contact the Directors of the Provincial Board for their vote. (2) (a) to an Area Convention by a Branch or Dis- trict. (b) The voting delegates must first establish by vote, whether or not it is an emergency resolu- tion. If considered an emergency, the resolu- tion is moved, seconded, discussed and voted on. If sustained, the Area Convener of Resolu- tions shall forward the resolution at once to the Provincial President. (c) The President of the Federated Women's Insti- tutes of Ontario and the Provincial Resolu- tions Committee must then establish in their opinion whether or not it is an emergency res- olution. If considered an emergency, the Pro- vincial President will contact the Directors of the Provincial Board for their vote. (3) (a) by a Branch, through a Board Director, who will present it to the Provincial President. (b) The President of the Federated Women's In- stitutes of Ontario and the Provincial Resolu- tions Committee must then establish whether or not it is an emergency resolution. If consid- ered an emergency, the Provincial President will then contact the Directors of the Provin- cial Board for their vote. (c) by a Branch, through a Board Director who will present it at the next regular meeting of the Provincial Board. 4. The Branch Convener of Resolutions shall: (a) prepare resolutions. (See page 69.) (b) prepare and present a Convener's Report, whether there are any resolutions or not at the Branch An- nual Meeting. (c) forward a copy to the District Convener of Resolu- tions immediately after the Branch Annual Meet- ing. 5. The District Convener of Resolutions shall: (a) send a copy to the Branches of all resolutions to be dealt with at the District Annual, six weeks prior to the District Annual. (b) send a copy of the resolutions to be presented at 71 Branch Convener of Resolutions District Convener of Resolutions the District Annual to her Provincial Board Direc for at least ten days prior to the District Annual. (c) obtain all possible information on each resolution prior to the District Annual. (d) prepare and present a Convener's Report, whether there are any resolutions or not, at the District An- nual, and forward a copy to the Area Convener, immediately after the District Annual. (e) present the resolutions for discussion and voting at the District Annual. (f) prepare a copy of each resolution sustained, with names of Branch President, Branch Secretary - Treasurer, the name of the District, date of District Annual, and the signatures of the District Presi- dent and Secretary -Treasurer; forward at once, with all contributory material, to the Area Con- vener of Resolutions; retain a copy of each resolu- Area tion in a District file. 6. The Area Convener of Resolutions shall: Convener of (a) secure any additional information possible, relat- Resolutions in to the resolution. g (b) send a copy of all resolutions to be presented at the Area Convention to the Provincial President by September 1, and to all Branches and Districts in the Area six weeks prior to Area Convention. (c) prepare a Convener's report of work in the Area and forward a copy to the Provincial Convener by October 1. (d) present her report of work and disposition of res- olutions at Area Convention. (e) present the resolutions for discussion and voting at Area Convention. (f) return resolutions not sustained, with explanations. (g) prepare a copy of each resolution sustained, with names of officers at each level, place and date of District and Area meetings, and the signatures of Area President and Secretary -Treasurer; forward at once, with all contributory material, to the Pro- vincial Convener of Resolutions; retain a copy of each resolution in an Area file. Provincial Convener 7. The Provincial Convener of Resolutions shall: of (a) with her committee, consider and edit resolutions, Resolutions and obtain all possible additional information. (b) present resolutions for consideration by the Pro- vincial Board. 72 (c) present a copy of the resolutions sustained, bearing the signatures of the Convener, the Provincial President and Secretary -Treasurer, with an accom- panying letter, brief or delegation as directed by the Provincial Board, to the persons, departments or organizations concerned, for their consideration and action. (d) provide copies of each resolution sustained for the files of Provincial President, Provincial Convener and the office of the Federated Women's Institutes of Ontario. (e) prepare a report for Area Conveners of Resolu- tions concerning the disposition of resolutions, for use at Area Conventions. (f) present a report at the following meeting of the Provincial Board on all responses to resolutions. (g) prepare and present a report at the Annual Meet- ing of the Provincial Board, with an outline for the assistance of Conveners. (h) forward a copy of report and sustained resolutions to the office of the Federated Women's Institutes of Canada. (i) See Provincial By -Law 20, page 59. MOTIONS All business should be introduced to a meeting by a mo- tion, communication or a report of a committee. 1. A motion is the proposal of an idea or item of busi- ness, to a meeting, and records the majority opinion of the group. 2. When an organization holds an annual meeting, a mo- tion is only considered valid for one year. 3. All motions, which are voted on, must be recorded in the minutes giving name of mover and seconder, and result of vote. 4. There should be only one motion before a meeting at one time unless it is a motion to amend. 5. Steps of a Motion: (a) moved by a member. (Some preliminary explana- tion may be necessary before a motion can be made, but this should not be allowed to continue unduly.) (b) seconded by a member. (c) stated exactly by the presiding officer. (Each member should be given one opportunity to express her opinion on subject of motion under discussion. Mover may speak only once, after making the motion.) (f) both affirmative and negative votes taken by pre- siding officer. (Negative votes are not taken on motions of sympathy, congratulations or courtesy.) (g) A member may abstain from voting if granted per- mission by the presiding officer. (h) A member, through indifference, who has not asked for abstention is counted with the negative vote. (i) result of vote announced by presiding officer. All members abide by decision of majority and work towards its accomplishment. 6. An amendment to a motion must be relevant to a mo- tion, and not change its intent. It is used when a motion is not entirely satisfactory. It may propose to: (a) insert or add words. (b) leave out words. (c) leave out words in order to insert words, but the word "not" in an amendment is out of order, as a negative vote gives same result. An amendment follows the same steps as a motion, and is voted on before the original motion. If amendment carries, then the original motion as amended is voted on. Only two amendments may be proposed to deal with one motion. If amendment is not satisfactory, a motion to amend the amendment is in order. The amendment to the amendment is voted on first, if carried, then vote is taken on first amend- ment as amended. If this carries, then the original motion as amended and written by Secretary -Treasurer is voted on. 7. A motion may be moved, seconded, stated and dis- cussed, and then found unsatisfactory. If it has not been voted on, it may be withdrawn and a new motion formed. (This can sometimes be done instead of making an amend- ment which is confusing.) A motion may be withdrawn with the consent of the 74 mover and seconder. The presiding officer asks if there are any objections to its withdrawal, and hearing none, it can be withdrawn. If any objection to withdrawing the motion is raised, then it must be voted on. A withdrawn motion is not recorded in minutes. 8. If the members feel they have made a mistake, perhaps through hasty action, in adopting or opposing a Recofisider Motion motion, a motion to reconsider the vote may be made. Any member a may move for a reconsideration to be discussed at the same meeting, or at the first meeting held thereafter, provided not more than one month has elapsed. 9. The members may wish to rescind or strike out certain action taken by a motion at a previous meeting. To rescind a Rescind a Motion motion requires a Notice of Motion or it may be. rescinded without notice by a two-thirds affirmative vote of those mem- bers present or an affirmative vote of the majority of the en- tire membership. 10. Action on a motion may be delayed by: Delayed (a) referring it to a committee. Action (b) postponing it. on a (c) laying it on table. If a motion is made to lay it on Motion table, the motion cannot be debated, amended or reconsidered until a motion to take from the table is considered, and affirmative vote received. This may be done at the same meeting, if other busi- ness has intervened, or under the heading of new business at a future meeting. 11. (a) Any member may present a Notice of Motion, in Notice of writing and dated, to adopt, amend or repeal By- Motion Laws, and to disband or reorganize a Branch, District or Area. One month's notice must be given, preceding the meeting at which motion is to be made, and every member shall be notified of the proposed motion in the exact terms in which it is to come before the meeting. When presented a Notice of Motion is not seconded and may not be discussed. (c) If no action is taken regarding the disposition of a resignation, the Chairman says: "The question is on the acceptance of the resignation" and calls the vote. (c) If the President or Vice -President should not be present, the Secretary -Treasurer should open the meeting, and have those in attendance appoint a Chairman to carry on the meeting until the Presi- dent or a Vice -President arrives. Good Form 2. A good member should: for Members (a) attend all meetings, participate, be informed, en - thusiastic, co-operative and courteous at all times; (b) stand, address the chair, and wait for recognition; (c) not speak twice to a motion (only a mover may speak more than once); (d) speak loudly enough to be heard and on the sub- ject under discussion; (e) discuss matters freely, state her opinions (the right of minority) but support the decision of the major- ity; (f) have right to appeal against the ruling of.the chair, in which case the Chairman asks, "Shall the deci- sion of the chair stand?" and takes a vote of mem- bers present; and (g) show her pride and enthusiasm by promoting the growth of the Women's Institute. Good Form 3. The President should: for Presidents (a) preside at all meetings (of the Branch, District or Area) and insure that the business is conducted in an orderly manner; (b) stand when opening or closing a meeting or when stating a question; (c) with the Secretary -Treasurer, make out the agenda; (d) speak clearly, loudly enough to be heard, maintain order, and set basis for a pleasant and enjoyable meeting; (e) with the Secretary -Treasurer, sign the cheques for any withdrawal of funds; (f) ask Secretary -Treasurer to read minutes and com- munications and deal with them as required; (g) after the minutes are read, say: "You have heard the reading of the minutes. Are there any correc- tions?" She pauses and says, "If none, the minutes 78 I& stand approved." If corrections are made the chair should say, "Are there any other corrections?" If none, "The minutes stand approved as corrected." The Secretary -Treasurer has signed the minutes when she wrote them, and now the President signs them when they are approved by the meeting; (h) give information but not make, second or speak to a motion while occupying the chair; (i) not show prejudice on questions and vacate chair if she wishes to take part in the discussion; (She shall ask Vice -President or another person to pre- side temporarily.) (j) declare the motion lost in the event of a tie vote; (k) have privilege of introducing or thanking speakers if so desired, but it is her duty to make sure some- one does extend courtesies; (Introductions and "thank yous" should be brief. In introduction give subject, name and special information concerning the speaker.) (1) be an ex-officio member of all committees, and only have a vote if named as a member of the committee; and (m) perform such other duties as are associated with this office. (N.B. The Secretary -Treasurer should: (a) be seated at the right of the Presiding Officer and be ready to assist the chairman at all times; (b) be custodian of minute books, records and assets; (c) bring to the meeting her minute book, Handbook, and any other By -Laws; (d) be responsible for neat, concise records of pro- ceedings; include all motions and avoid expres- sions of personal opinion; (e) sign minutes when she writes them and obtain President's signature after approval; (f) with the President make out the agenda; (g) conduct the correspondence; (h) with the President, sign cheques for any with- drawal of funds; (i) have the right to make, second, speak to, and vote on motions in her capacity as a member of the or- ganization; 79 Good form for Secretary - Treasurer (j) open meeting in usual manner if presiding officer is not present at time of meeting, and then ask members to appoint a person to preside as chair- man until President or Vice -President arrives or for that meeting only; (k) send reports as required to Secretary -Treasurer at next level, Home Economics Branch, Ontario De- partment of Agriculture and Food, and the Feder- ated Women's Institutes of Ontario; (1) present a progress report of finances at each meet- ing; (It is not necessary to have a motion for ac- ceptance.) (m) present a statistical report and an audited finan- cial statement at the annual meeting; (n) have stamped, addressed envelopes ready for the Conveners of Standing Committees to send their reports on to the next level; (o) perform such other duties as are associated with this office; and (p) upon retiring from office, transfer to her successor, all monies, books, papers and other property in her possession. Instructions for return accompanies all loan literature and kits. A list, with brief descriptions of the services offered, is supplied to each Women's Institute periodically, and is avail- able to other interested groups. Records It is important that all records of the Women's Institutes be kept for reference. The organization's publication, "Home and Country", should be considered a part of these records and kept on file so that copies may be readily available for reference when required. It is recommended that correspon- dence be retained for a period of one year and receipts for at least three years. It should be planned to inform the public of the members' concern for peaceful relationships with other countries through contact with women of like interests. It is suggested that International Day be held in the month of February. The study of one of the countries with which the Women's Institute is affiliated, through membership in the A.C.W.W., might be the basis for an interesting programme for this day. The programme should not be set up until after the District Annual in order that the names of the District officers and conveners may be included in the pro- gramme. It is advisable to have the programme planned from June until the following June.
